I termini di consegna da noi indicati si intendono indicativi e quindi non sono vincolanti. In

caso di forza maggiore che impedisca o limiti il normale andamento della produzione i termini

si interrompono o si prolungano. La mancata o tardata esecuzione di una parte o di tutto

l’ordine, non potrà dare il diritto al Compratore di esigere l’esecuzione dell’ordine stesso o al

risarcimento di eventuali danni. La merce viaggia a rischio e pericolo del Compratore anche

se venduta franco destino. La consegna si intende effettuata nel momento in cui la merce

viene consegnata al vettore o allo spedizioniere.

Ogni nuovo onere di qualsiasi natura, o la variazione di quelli esistenti sulle materie prime

e sulla lavorazione comportano corrispondenti variazioni di prezzo per i quantitativi ancora

da consegnare. La Venditrice quindi ha facoltà di modificare i prezzi in qualsiasi momento

e tali variazioni entrano in vigore al momento della consegna del materiale. Ogni singola

variazione verrà comunicata tempestivamente al Compratore ma il mancato ricevimento della

comunicazione non costituisce deroga a quanto sopra stabilito.

I prodotti della Fratelli Comunello SpA consegnati ai clienti possono essere imballati nel modo

seguente:

- in vasche di cartone su pallets avvolti da estensibile;

- su pallets;

- in scatole su pallets avvolti da estensibile.

Se all’arrivo della merce l’imballaggio di qualsiasi specie esso sia, ha segni evidenti di danno,

il compratore annoterà tale riserva sul Documento di Trasporto. Sarà cura del cliente far avere

tale documento alla Venditrice.

Nessun reclamo potrà essere elevato decorsi 8 giorni dall’arrivo della merce.

Ogni irregolarità nei pagamenti, indipendentemente dalla causa, autorizza la Venditrice a

sospendere o ad annullare gli ordini in corso di esecuzione senza che ciò pregiudichi il suo

diritto ad eventuali azioni per il risarcimento del danno. Per le scadenze dei pagamenti si

terrà conto delle date delle singole fatture anche se rappresentanti l’eseguimento parziale

di una commissione. Tutte le controversie giudiziarie avranno loro sede competente nel foro

di Bassano del Grappa, quand’anche la merce fosse venduta franco destino e quali che

siano le condizioni di pagamento. In caso di mancata o ritardata restituzione della copia

della conferma d’ordine firmata per accettazione si considera il cliente d’accordo circa

l’applicazione di quanto stabilito nella conferma d’ordine stessa e autorizza la Venditrice a

dare esecuzione all’ordine trasmesso. Le aggiunte o modifiche poste dal Compratore sulla

conferma non sono impegnative per la Venditrice e saranno da questa considerate soltanto

come raccomandazioni.

Our terms of delivery must be considered as approximate and therefore they are in no way

binding. In any case of force majeure which prevents or limits the usual rate of production, the

terms of delivery may be changed. If an order or part of it is delayed or not filled, the Buyer will

not have the right to demand the Seller to fill it or to be indemnified for damages. New costs

of any nature, or changes of those already exiStyng, of raw materials or of the manufacturing,

will affect the prices of the quantities which still have to be delivered. Therefore the Seller has

the right to change the prices at any moment and these modifications become effective at the

moment of the delivery of the goods. Every single variation will be communicated to the Buyer

in time, but the non-receipt of the communication is not to be intended as a way of exception

to what stated above.

Products produced by Fratelli Comunello S.p.A. delivered to the costumers, may be packed

as follows:

- In cardboard tanks on pallets wrapped in extensible tape;

- On pallets (Tracks, Racks);

- In boxes on pallets wrapped in extensible tape;

For small quantities, Tracks and Racks are delivered loose or in bundles.

When the goods arrive at destination, if the packing, of any kind, should be damaged, the Buyer

must report any damage on the Delivery Note. It will then be the Purchaser’s responsibility to

provide the note to the Seller.

It will not be possible to raise any objection after 8 days of the arrival of the goods.

Any irregularity in payments, whatever the cause, gives the Seller the right to suspend or

cancel the orders in execution and to bring an action against the Buyer for the compensation

for damages. As for the expiry dates of payment, the dates of the single Invoices will be

considered, even if they represent the partial execution of an order. The court of Bassano del

Grappa is the seat for all legal proceedings, whatever the terms of payment and even if the

goods are sold C.I.F.

Additions or modifications made by the Buyer in the confirmation of the order are not in any way

binding for the Seller and they will be considered as mere suggestions.
