Products

The products and relevant prices, subject of the salescovered by these General Conditions of Sale, arethose shown in ES ATELIER ’s price lists in force at

the time the order is placed.The reception of our price lists shall not be deemedas an offer and may be modified at any time withoutnotice. The delivery of materials and fabrics to ES ATELIER by the purchaser shall take place free at destinationat the latter’s own expenses and risks.Orders and order confirmationsThe order shall be firm on the purchaser until confirmation thereof, but in no event for more than 10days from the receipt of the order by ES ATELIER.Firm orders may be cancelled only upon ES ATELIER agreement and however upon payment of 10% of therelevant price, should the products have not yet beenmanufactured or of 30% of the relevant price in anyother case.Orders shall be deemed accepted and binding uponES ATELIER in case of written confirmation by the latter;confirmation shall be deemed effected in writing even bytransmission of the invoices and/or packing lists.Should the order confirmation contain modificationsin respect of the order, these modifications shall bedeemed tacitly accepted by the purchaser after 5 daysof receipt thereof, unless written notice of disagreementis given by the purchaser within the above term.At any time and without notice,ES ATELIER shall havethe right to modify the products as ES ATELIER deemsappropriate. Likewise, ES ATELIER shall suspend and/or cease the production of the products for marketingor production reasons, without the purchaser beingentitled to raise any right or complaint.

Prices and payment

Except for what provided for herebelow and unlessotherwise agreed upon in writing, prices are expressedin euro.Prices of the products may be varied by ES ATELIER evenGENERAL CONDITIONS OF SALETransport excludedVAT excludedafter confirmation of the order, should delivery of theorder in whole or in part be delayed for any reasonbeyond ES ATELIER resonable control.Irrespective of what set out in the order confirmation,the payment shall be deemed effected at ES ATELIER registered offices. The issue of bills of exchange orcheques shall not be considered as payment nor determinethe shifting of the place of the performanceor novation of the original obligation. All the costsfor issuance of bills of exchange or cheques and allthe rele-vant bank expenses are for the purchaser’saccount. In case of delayed payment, the purchasershall be charged with delay interest, as provided forby the legislative decree 231/02. In such an event,ES ATELIER shall further be entitled to suspend any deliveryin progress as well as the delivery of any furtherorder transmitted by the purchaser, save for the rightto rescind the contract without any notice being duetherefore or placing the purchaser into default.The purchaser shall not suspend, delay, deduct orcompensate payments, not even in case of dispute,claim or delay in delivery by ES ATELIER . ES ATELIER shall have the right to credit the payments receivedin settlement of the oldest invoices, plus costs, delayinterests in the following order: costs, interests andcapital credit.

Delivery

Time of delivery communicated by ES ATELIER shall bedeemed only indicative and shall not be essential;delivery may be delayed in case the purchaser fail effectingthe above mentioned down payment and/oruntil all the technical data required to properly fulfilthe order are communicated by the purchaser.Delivery of the products can be postponed by a maximumof 15 days; thereafter, the products will be invoicedand storage costs shall be charged to the purchaser.Shoul ES ATELEIR be prevented from meeting any deliverydate, due to lack or delayed delivery on the partof its suppliers, or due to interruption or suspensionof transports or energy, strikes or union agitation, aswell as for any other unforeseeable event beyond ES ATELIER reasonable control, the running of the deliveryterms shall be suspended from the day of communicationof the impediment to the purchaser.

Retention of title

The products shall remain property of ES ATELIER untilall the purchaser’s credits have been paid in fulland the purchaser has fulfilled all its obligations hereunder.In case of payment by cheques or bills of exchange,the payment will be deemed effected afterreceipt by ES ATELIER even if the documents are deliveredin advance.The purchaser will have to carry out at his/its ownexpenses all the required formalities and deeds, accordingto the local regulations in force, in order toexercise the retention of title towards third parties.After delivery, the purchaser undertakes to insurethe products in favour of ES ATELIER against loss ordamages. Failure to receive payment, in whole and/or in part, of the price or the credits, ES ATELIER shallhave the right to obtain the enforcement of the paymentwhich has not been fulfilled or cancellation ofthe contract, the return of the products and claim forcompensation of damage. The accounts paid by thepurchaser will automatically indemnify the amountsdue to ES ATELIER as compensation of the resale. Thepurchaser shall have the right to resell the productswhich are under retention of title by ES ATELIER duringthe normal course of its/his business, except incase he/it did not fulfil his/its own obligations towardsES ATELIER or in case of bankruptcy, liquidation or eachand every other procedure. The products which areunder retention of title may not be pawned, given asguarantee or under enforcement sale or other encumbrances.The purchaser, therefore, has to notify to his/its own creditors or to any third party of the existenceof the retention of title in favour of ES ATELIER and hasto inform ES ATELIER within 24 hours of each executorydeed or interim measure executed by third parties onthe products, as well as of any bankruptcy proceeding.The purchaser remains in any case responsibletowards ES ATELIER for every expense or damage sufferedby the latter due to the acts above mentioned.If the purchaser resells the products before havingfulfilled all his/its obligations towards ES ATELIER, suchresale will be considered as executed on behalf ofES ATELIER, who shall be entitled automatically to besubrogated in the purchaser’s rights towards the subpurchaser,and therefore to claim for payment of itscredits or request the return of the products. In suchan event, the purchaser has to communicate to ES ATE-LIER the names of the sub-purchasers, as well as orderthe sub-purchasers to execute the payment directlyto ES ATELIER Should the purchaser have received paymentsfrom the sub-purchaser, such payment will bedeemed to have been received on behalf of ES ATELIERand shall therefore be promptly reimbursed to the latter.

Warranties

ES ATELIER warrants that the products are free fromdefects in design, materials and workmanship undernormal use, provided they are used in strict compliancewith the conditions supplied by ES ATELIER, in particularwith respect to pre-wash and washing of thefabrics, besides the cleaning and preservation of themarble ,leather and the cushions The leather may have smallscratches or scars and fur can show differences inhair height and evenness; these are not defects, butrather characteristic marks of quality and worth foundin real natural leather.The warranty shall be valid for a period of 12 monthsfrom the date of delivery of the products and cannot,in any case, be interrupted or postponed due to lackof use of the products, even if it is due to repairs effectedunder warranty. NO FURTHER IMPLIED OR EXPRESSWARRANTY, WHETHER BY OPERATION OF LAWOR CONVENTIONAL, IS GRANTED TO THE PURCHASERBY ES ATELIERThe purchaser shall examine the products immediatelyafter arrival at destination and notify to ES ATELIERwithin the following 7 days, subpoena of forfeiture, anyincomplete or non-conforming delivery, as well as theexistence of any patent defect.In case of glass or stone surfaces, the verification andrelevant notice of defects shall take place immediately,upon unloading at the purchaser’s facilities. Thereafter,the supply may be considered accepted withoutreserves by the purchaser, with the consequent waiverby the same to plead for any defect in the products.Likewise, in case of hidden defects, their presencemust be notified, subpoena of forfeiture, within 8 daysfrom discovery thereof. All notices shall be sent in writingdirectly to ES ATELIER and shall specify the productname and code and its delivery date, as well as thedetailed description of the defects discovered.In no event shall the agents, distributors and intermediariesof ES ATELIER be entitled and have the authorityto represent and bind ES ATELIERThe purchaser shall keep the defective products atES ATELIER disposal for a reasonable period of time inorder to allow the inspection thereof and no returnsare allowed without the prior written authorization ofES ATELIER.This warranty shall not be extended to defects due toincorrect assembly or installation of the products, carriedout by the purchaser or by any other third party;or due to misuse or improper use of the products withrespect to normal use, wear and tear and/or by repairsby third parties without ES ATELIER consent.Should any defect be acknowledged, ES ATELIER willrepair or replace the defective parts free of chargeex works, according to the terms and conditions establishedby ES ATELIER. ANY OTHER INTERVENTIONAND REMEDY AS WELL AS ANY RESPONSIBILITY FORDIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIALDAMAGES ARISING FROM THE DEFECTIVE AND/ORNON-CONFORMITY OF THE PRODUCTS, BEING TO THEEXTENT ALLOWED BY LAW, EXPRESSLY EXCLUDEDAND WAIVED BY THE PURCHASER, WHO HAS THEREFORENO RIGHT OF RECOURSE AGAINST ES ATELIER,ALSO FOR THE PURPOSES OF THE ART.1519 QUINQUIESOF THE ITALIAN CIVIL CODE.The purchaser shall not be entitled to suspend or delayany payment in favour of ES ATELIER, in case of anyclaim and/or lawsuit instituted by the former.

Intellectual property rights

The purchaser shall be entirely responsible and indemnifyand hold ES ATELIER from any cost or damagearising from violations of fair competition, industrialand /or intellectual property of third parties, concerningthe products, components and fabrics whichshould be specifically commissioned to ES ATELIER andthat are not included in the latter’s catalogue, as wellas from any violations of fair competition, of industrialor intellectual property right of ES ATELIER and from anyunauthorised use of the trademarks of ES ATELIER orany distinctive sign of the latter.Applicable law and competent jurisdiction

The sales ruled by these General Conditions are governedby the laws of Italy.Any dispute arising between the parties concerningthe sales ruled by these General Conditions shall besubmitted to the exclusive jurisdiction of the Italiancourts and in particular to the sole venue of theCourts of Verona . As a partial derogation to whatset forth above, ES ATELIER will, nevertheless, be entitledat its sole discretion to apply to the Courts of thedomicile of the purchaser.FIinal provisions

The sale contract may not be amended except in writing,signed by each of the parties subsequent to thedate of execution.Failure by ES ATELIER at any time to enforce any of theprovisions of these General Conditions or of the salecontract, ruled by the same, shall not be construedas a waiver of such provisions; moreover, this cannotprevent ES ATELIER to enforce each and every provisiontherein. In the event that any of the provisions of theseGeneral Conditions or any of the clauses of the salecontract governed by the same will be declared nulland void or/and ineffective, the remaining portionsthereof shall continue in full force and effect and theoffending portion shall be severed therefrom.For the purposes and to the extent provided for bythe articles 1341 and 1342 of the Italian Civil Code,the purchaser further states and declares to approveexpressly the provisions contained in the followingparagraphs of the General Conditions: waiver of theright to revoke or cancel the orders – tacit acceptanceof the order and modifications – right to modify theproducts – suspension and termination of the production– expiry of time limit – failure in payment – solveet repete clause– suspension and non-essentiality ofdeliveries – transfer of risk – effect of delivery postponement– force majeure – reserve of ownership –limitation of recourse, exclusion and forfeiture of warranty– applicable law – competent jurisdiction – nullityor non effectiveness of one or more clauses of thecurrent General Conditions of Sale.Personal data processing (Law no. 675/96)

For the purposes and to the extent of Law no. 675/96,the undersigned declares to have received the informationnote provided for by the articles 10 and 13of the above mentioned law and to have taken duenote of the rights granted thereby. Therefore, the undersignedgives his/its unconditional consent to thetreatment, communication and diffusion in Italy andabroad, even in countries outside the European Union,of its personal data, including any “sensible data” tothe extent that such data are used for the purposes offiling, processing or registering the same in the companyarchives, as well as for management, promotionaland publicity purposes, transmission of commercialand technical information, for marketing surveys andin particular, without limitation, for all uses which maybe deemed appropriate to guarantee greater protectionand safety of the purchased goods.

The use of the current price list implies the acceptance of all the General Condi-tions of Sale above mentioned.
