AVUS RACING è un marchio registrato di RVS srl, azienda Italiana specializzata nella produzione di cerchi in lega per autovetture, suv/offroad e veicoli commerciali.

L’azienda, fondata nel 1979 a Castelfranco Veneto vicino a Venezia, opera dagli anni ‘90 nel mercato come partner industriale di famosi produttori nazionali di cerchi in lega.

Dal giugno 2007, RVS ha gestito la produzione e la distribuzione per l’Europa delle ruote monoblocco in lega “AVUS racing”, marchio conosciuto nel mondo grazie alla fornitura di prestigiosi Team di Formula 1 come Red Bull eToro Rosso (2007) e ING Renault (2008). Il marchio AVUS racing è stato inoltre presen-te nel campionato DTM con il Team Mercedes fino al 2007.

Giugno 2008: RVS acquisisce il brand “Avus Racing”Avus racing entra anche sul mondo delle competizioni off-road, sviluppando e brevettando il sistema in-novativo denominato RBS01 (RVS beadlock system) che è composto da un cerchio in lega predisposto per l’uso normale oppure con il kit bead lock dedicato senza applicare modifiche strutturali al cerchio.

L’intero ciclo produttivo viene seguito minuziosamente e attentamente in ogni fase: dallo sviluppo del de-sign all’imballaggio, attraverso la progettazione con calcolo strutturale (FEM), la produzione degli stampi con sistemi computerizzati cad-cam, la fusione in conchiglia, la lavorazione meccanica a CNC fino all’ope-razione finale di controllo del prodotto, imballato e stoccato. Tutto viene eseguito nel rispetto dell’ambien-te, da sempre elemento di distinzione di RVS.Vengono effettuati internamente ulteriori test: verifica sulla qualità delle materie prime, controlli a raggi X, flessione rotante, impact test, prova TBL e controllo dimensionale sui prodotti lavorati.RVS, infatti, è da anni certificata UNI EN ISO 9001:2000 dall’autorevole ente tedesco TÜV ed è inoltre fornitore accreditato di alcune tra le più importanti case automobilistiche Europee.

Settembre 2009: un passo fondamentale nella nostra strategia commerciale, in quanto con la pubbli-cazione del catalogo “Winter 2009 wheels collection”, tutta la produzione del gruppo (precedentemente suddivisa in 3 brands differenti) viene riunita sotto il marchio AVUS Racing.

Gennaio 2010: Il nuovo catalogo Spring 2010 segna un’importante evoluzione nello stile della comunica-zione AVUS RACING.

Gennaio 2013: AVUS RACING torna nel mondo delle ruote forgiate proponendo la “DTM06”, ruota mo-noblocco forgiata direttamente derivata dallo stile racing DTM. La gamma prodotti si arricchisce di nuovi modelli e finiture contando così oltre 20 design differenti.Viene introdotto un programma di personalizzazione colori in modo da soddisfare sempre più le richieste del cliente finale.

AVUS Racing is a registered trademark of RVS Srl, an Italian alloy wheels manufacturer for cars, SUV, off-road and commercial vehicles.

The company, founded in 1979 in Castelfranco Veneto, near Venice, since the 90’s operates in the au-tomotive market as partner of prestigious national alloy wheels producers.

Since June 2007, RVS managed the production and distribution for the European market of monoblock alloy wheels “AVUS racing”, a brand known through out the world thanks to the supply of prestigious Formula 1 team like “Red Bull”,“Toro Rosso” (2007) and “ING Renault” (2008). The brand was also pre-sent in DTM with Mercedes team until 2007.

June 2008: RVS Srl acquire the brand “AVUS Racing“.“AVUS Racing” enters of off-road competitions world, developing and patenting the innovative system named RBS01 (RVS beadlock system), which consist of an alloy wheel for road use, with the option of mounting the dedicated beadlock system without modifying the structure of the wheel.

The entire production cycle is followed meticulously and carefully at every process stage: from the design development to the packaging through the project with structural analysis (FEM), the moulds production with computerized cad-cam systems, the gravity casting and CNC machining to the final product con-trol, packed and stored in our warehouse, everything in accordance with the respect of the environment that has always distinguished RVS company.Additional control tests are carried out internally: X-ray and raw materials quality control, bending mo-ment, impact and TBL tests, dimensional control. RVS is in fact a certified company UNI EN ISO 9001:2000 by the authoritative German TÜV and is also an accredited supplier of some of the most important European car manufacturers.

September 2009: a crucial step in our business strategy, since with the publication of the catalogue “Winter 2009 wheels collection”, the entire production of the Group (previously divided into three diffe-rent brands) is gathered under the brand name “AVUS Racing”.

January 2010: the new catalogue “Spring 2010” marks an important evolution in the style of AVUS Racing communication

January 2013: AVUS Racing back into to the world of forged wheels proposing the “DTM06”, a forged monoblock wheel directly derived from the DTM racing style.The product range is enriched with new models and finishes counting over 20 different designs, moreo-ver the introduction of colors customization tries to meet the customer’s demands.

General terms of sale1 - Norms and object of the contract1.1 These General Sales Conditions, unless otherwise agreed upon in writing, are ruling all supplies of products sold by RVS Srl (hereinafter called “Seller”) in favour of the Customer. Therefore, with its signature of this act, the Customer accepts that all its purchases of goods (hereinafter “Products”) from the Seller shall be ruled by these norms and conditions, even in absence of specific mentions.1.2 All offers made by agents, representatives or other traders of the Seller do not engage this latter until when they shall be confirmed by the same.

2 - Offers orders and order confirmationsThe forwarding of these general conditions does not mean by itself the acceptance of possible offers within the ongoing deals: in any case, they supersede or delete any similar previously proposed by either Party.2.2 Any forwarding from the Seller of products descriptive material not bearing the mention “offer”, cannot be considered as a proposal. The offer of the Seller is irre-vocable only if this is stated in writing together with the indication of an expiry term of the offer itself.Orders can be forwarded: by fax, by e-mail, by phone. 3 - Delivery and quality controls3.1 Unless otherwise stated on writing, the Products are delivered ex works of the Seller, bearing their quality tag, where foreseen.Transportation costs, duties, taxes, and insurances are for Customer’s account unless otherwise agreed upon.3.2 Unless when otherwise foreseen, the delivery terms stated in the purchase order and in any case agreed upon between the Parties are merely indicative and not binding. The delay in the delivery of the Products does not give the Customer the right to refuse them, to the resolution of the contract or to act for damages somehow deriving from delay of missed, full or partial, delivery.3.3 If the customer will ascertain any shortage or damages in the packing of the Products delivered, the acceptance of the goods shall be made “reserved the right to verify”, buy entering said declaration on the transportation document /Bill of Lading or any other).Any acceptance without reservation shall void the right of the Custo-mer to claim for shortage or damages of the products received and, therefore, the expiry of any right to act for the possible damages arising there from.

4 - Guarantee and responsibility4.1 Any vice and quality defects of the products must be claimed by the Customer in writing by registered letter within 8 days from their discover accdg. to art. 1495, first paragraph, of the Italian civil code, otherwise forfeiting. A copy of the invoice or of the Bill of Lading shall be attached to the claim.No activity of the Seller shall be deemed as an acknowledgement of a vice unless this results from a document purposely written.4.2 The Seller does not respond in any case for the aptitude of the Products to the purposes aimed at by the Customer.4.3 The Customer is the exclusive responsible for damages caused to things or persons by its products embodying the products of the Seller, unless such damages are exclusively chargeable to the Seller and/or to its Products. The Customer obliges itself to keep and hold the Seller exempt from any claim for damages whatsoe-ver, originating from third parties of the Customer and/or to products on their turn embodying the products of the Customer. For this purpose, the Customer explicitly waives its right to recourse accdg. art. 1519-quinquies Italian Civil Code: the Customer will furthermore hold the Seller free from any recourse action of third parties, also in accordance with art. 1519.-quinquies of said Civil Code. 4.4 Unless in case of malice or severe fault, in no other case the Seller shall respond for damages arising from loss of profit of for any other damage, special or indirect, of any nature, including therein all damages arising from possible stop of the production, suffered by the Customer and/or from third parties, even if the Seller had been made aware of the possibility of such damages to occur. The Seller does not in any case respond for the damages arising from omissions and/or from not fulfilling in respect of third parties, regardless of their occurrence. 4.5 Without prejudice for what stated to articles 4.3 and 4.4 above, the responsibility of the Seller will not anyhow exceed a total amount corresponding to the price of the single products charged of vices or defects.

5 - Payment5.1 The payment of the price in accordance with this article shall be done in compliance with the agreements. Possible claims of the Customer give no right to delaying or withholding the payments.5.2 To each order shall be applicable the prices purposely agreed upon between the Parties, as it arises from the said orders and/or from the documentation attached to the orders, undersigned by the Parties.5.3 In the case of payments in instalments, the missing payment even of just one instalment only shall empower the Seller to deem the Customer loosing its standing of the advantage of the term, accdg. art. 1186 (ITALIAN) Civil Code and as consequence to claim from him the immediate payment of the entire outstanding debit.5.4 Any delay or irregularity in the payment shall give the Seller the right to stop the deliveries and the orders not yet fulfilled, even if not relating to the concerned payment and/or to the resolution of the relevant contract, as well as to claim the right to the indemnification of possible damages.5.5 With reference to what stated under the articles 5.3 and 5.4 above, the Seller shall have in any case the right – effective from the date on which the payment was due, and without need of previous notification of penalty – to the interests for delayed payment calculated on the base of the main refinancing instrument of the European Central Bank as applied to its most recent main refinancing operation done on the first calendar day of the relevant semester, increased by 7 percentage units (as stated in the guideline 2000/35/CE and the relevant reception norms, Decree of Law 20/09/2002), as well as to the reimbursement of any costs borne by the Seller in consequence of the missing and/or delayed payment.5.6 Possible payments made to agents, representatives or trading personnel are not deemed as done until when the relevant amounts have not been credited to the Seller. 5.7The Customer is bound to the full payment of the price of the delivery even in case of claim or controversy. No compensation with possible credits, anyhow arising with the Seller, is allowed.

6 - Interpretation, modification, invalid clauses6.1 Any declaration given, as well as the behaviour of the Parties during the deal or during the execution of the contract may contribute to the interpretation of only that contract to which they refer to, and in any case within the limits not in conflict with these General Conditions or with possible written derogation agreements purposely reached by the Parties upon the stipulation of the single contract referred to.6.2 Any derogation to these General Conditions must be agreed upon in writing, otherwise being void. The derogation to one or more precisions of these General Conditions cannot be interpreted extensively or in analogy and does not imply the will to rule the General Conditions in their full.

7 - Fitment rules7.1 The wheels must always be fitted in compliance with the indications shown in the relevant production charts. Before fitting the tyre on the wheel, following instruc-tion must be carefully followed:- the wheel must be suitable for the kind of vehicle- no part of the vehicle (brake caliper, shock absorbers etc.) must be in contact with the wheel- all accessories (bolts, nuts, rings) must be suitable for the required application.7.2 No claim or dispute shall be accepted in the case where the wheels have not been fitted in compliance with what stated under the preceding article 7.1. 7.3 No claim or dispute will be acknowledged in the case of use of wheels wrongly supplied.7.4 The validity of the guarantee and of the possible right to reimbursement are void in the event of fitment problems and/or discrepancies on its applicability due to any possible use non in compliance with the indication given buy the Seller and /or not described in the attached charts.

8 - Applicable right and jurisdiction 8.1 For all what not purposely foreseen, the sales between the Parties, to which these General Conditions apply, shall be ruled by the Italian Law, declaredly excluding the Vienna Convention on the international sales of movable goods 11/04/1980.8.2 For any controversy relating to or anyhow bound to the contracts to which these General Conditions apply, the Court of Treviso (Italy) shall have exclusive juri-sdiction.

Condizioni generali di vendita1 - Normativa ed oggetto del contratto1.1 Le presenti condizioni generali, salvo deroga concordata per iscritto, disciplinano tutte le forniture di prodotti venduti da RVS srl (di seguito “venditore”), in favore del cliente. Pertanto il cliente, con la sottoscrizione della presente, accetta che tutti gli acquisti di merce (di seguito “prodotti”) dal venditore siano regolati dalle presenti clausole e condizioni, anche in assenza di specifici richiami. 1.2 Le offerte fatte da agenti, rappresentanti, o altri ausiliari di commercio del venditore, non impegnano quest’ultimo fino a quando non siano confermate dal mede-simo.

2 - Offerte, ordini, conferme d’ordine2.1 L’invio delle presenti condizioni generali non implica di per sé accettazione di eventuali offerte, nell’ambito di trattative in corso; esse tuttavia sostituiscono od annullano quelle in precedenza proposte da una delle parti.2.2 L’invio da parte del venditore di materiale descrittivo dei prodotti non recanti la dizione “offerta” non può essere considerato proposta. L’offerta del venditore è irrevocabile soltanto se questo qualifica tale per iscritto con l’indicazione di un termine di validità della medesima.Gli ordini possono pervenire: via fax, tramite posta elettronica, telefonicamente. 3 - Consegna e controlli di qualità3.1 Salva diversa pattuizione scritta, i prodotti sono consegnati franco stabilimento del venditore muniti del tagliando di garanzia ove previsto. Restano a carico del cliente le spese di trasporto, tasse, ed assicurazioni, salvo ove diversamente convenuto.3.2 Salvo ove diversamente previsto, i tempi di consegna indicati nell’ordine e in ogni caso convenuti dalle parti, sono da ritenersi meramente indicativi e non vinco-lanti. Il ritardo della consegna dei prodotti non conferisce al cliente il diritto di rifiutarli, di risolvere il contratto o di agire per il risarcimento dei danni derivanti da ritardo o da mancata consegna, totale o parziale.3.3 Qualora il cliente rilevi la presenza di ammanchi o di danni negli imballi dei prodotti consegnati, la accettazione della merce dovrà avvenire “con riserva di verifica”, mediante apposizione di tale dichiarazione sul documento di trasporto (DDT o altro). L’accettazione senza riserva comporta la perdita da parte del cliente del diritto di contestare ammanchi o danneggiamenti dei prodotti ricevuti e, pertanto, la decadenza da ogni diritto d’azione per i conseguenti eventuali danni.

4 - Garanzie e responsabilità4.1 Eventuali vizi e difetti di qualità dei prodotti devono essere denunciati per iscritto, mediante raccomandata a.r., dal cliente, entro 8 giorni dalla scoperta del vizio ai sensi dell’art. 1495, 1° comma C.C., a pena di decadenza. Al reclamo deve essere allegata, in copia, la fattura o il documento di trasporto. Nessuna attività del venditore potrà essere intesa come riconoscimento di un vizio, salvo che ciò risulti espressamente da un documento scritto.4.2 In nessun caso il venditore risponde dell’idoneità dei prodotti agli scopi perseguiti dal cliente.4.3 Il cliente è esclusivamente responsabile per i danni causati a cose o persone dai propri prodotti incorporanti i prodotti del venditore, quando tali danni non siano esclusivamente imputabili al venditore e/o ai suoi prodotti. Pertanto, il cliente si obbliga a manlevare e tenere il venditore indenne da ogni qualsiasi richiesta di risar-cimento danni provenienti da terzi del cliente e/o a prodotti incorporanti a loro volta i prodotti del cliente. A tal fine, il cliente inoltre, rinuncia espressamente al diritto di regresso di cui all’art. 1519-quinquies c.c.; inoltre il cliente terrà indenne il venditore da qualsiasi azione di regresso di terzi, anche ai sensi dell’art.1519-quinquies c.c..4.4 Fatta eccezione per i casi di dolo o colpa grave, in nessun caso il venditore risponde per danni da perdita di profitto o da altri danni speciali o indiretti di qualunque natura, ivi inclusi tutti i danni causati da eventuali fermi di produzione, sofferti dall’acquirente e/o da terzi, anche se il venditore sia stato informato della possibilità dell’occorrenza di tali danni. Inoltre, il venditore non risponde in alcun modo dei danni derivanti da omissioni e/o inadempimenti nei confronti di terzi, a qualunque titolo occorsi.4.5 Fermo restando quanto previsto dai precedenti artt. 4.3 e 4.4, la responsabilità del venditore per danni derivanti da vizi dei prodotti non potrà comunque eccedere un importo complessivo pari al prezzo dei singoli prodotti oggetti di vizi o difetti.

5 - Pagamenti5.1 Il pagamento del prezzo di cui al presente articolo dovrà avvenire con le modalità concordate. Eventuali reclami dell’acquirente non daranno diritto a ritardare o sospendere i pagamenti. 5.2 A ciascun ordine saranno applicati i prezzi specificamente pattuiti tra le parti, come risultanti dagli stessi ordini e/o dalla documentazione allegata agli ordini sot-toscritta dalle parti.5.3 Nel caso di pagamenti rateali, il mancato pagamento anche di una sola rata soltanto, autorizzerà il venditore a ritenere il cliente decaduto dal beneficio del termine, ex art. 1186 c.c. e conseguentemente a richiedergli l’immediato pagamento di tutta l’esposizione debitoria.5.4 Qualsiasi ritardo o irregolarità nel pagamento darà diritto al venditore di sospendere le consegne e gli ordini non ancora eseguiti, anche se non relativi ai pagamenti in questione, e/o di risolvere il contratto rilevante, nonché di chiedere il diritto al risarcimento degli eventuali danni.5.5 Con riferimento a quanto previsto agli artt. 5.3 e 5.4, il venditore avrà in ogni caso diritto - a decorrere dalla scadenza del pagamento, senza necessità di messa in mora - agli interessi moratori calcolati in base al tasso d’interesse del principale strumento di rifinanziamento della Banca Centrale Europea applicato alla sua più recente operazione di rifinanziamento principale effettuata il primo giorno di calendario del semestre in questione, maggiorato di 7 punti percentuali (come previsto dalla Direttiva 2000/35/CE e dalla normativa di recepimento, Decreto Legislativo 20/09/2002), nonchè al rimborso di ogni spesa sostenuta dal venditore a causa del ritardato e/o mancato pagamento.5.6 Eventuali pagamenti effettuati ad agenti, rappresentanti, o ausiliari di commercio del venditore, non si intendono effettuati finchè le relative somme non siano accreditate al venditore. 5.7 Il cliente è tenuto al pagamento integrale del prezzo della fornitura, anche in caso di contestazione o controversia. Non è ammessa compensazione con eventuali crediti, in ogni caso insorti con il venditore.

6 - Interpretazione, modifiche, clausole invalide6.1 Le dichiarazioni effettuate o il comportamento tenuto dalle parti durante le trattative o nel corso dell’esecuzione del contratto possono contribuire all’interpretazione del solo contratto cui si riferiscono, e comunque nei limiti in cui non contrastino con le presenti condizioni generali o con gli eventuali accordi derogativi scritti specifi-catamente dalle parti in occasione della conclusione del singolo contratto in questione.6.2 Qualsiasi deroga alle presenti condizioni generali dovrà essere effettuata per iscritto, a pena di nullità. La deroga ad una o più disposizioni delle presenti condizioni generali non può interpretarsi estensivamente o per analogia e non implica la volontà di disapplicare le condizioni generali nel loro insieme.

7 - Regole per il montaggio7.1 I cerchi devono sempre essere montati rispettando le indicazioni fornite nelle relative schede di produzione. Prima di montare il pneumatico sul cerchio, bisogna seguire attentamente le seguenti istruzioni:- il cerchio deve essere adatto al tipo di veicolo- nessuna parte del veicolo (pinza freni ammortizzatori ecc.) deve essere in contatto con il cerchio.- tutti gli accessori (bulloni, dadi, anelli) devono essere adatti secondo l’applicazione richiesta7.2 Nessun reclamo o contestazione sarà accettato nel caso in cui i cerchi non siano stati montati secondo quanto al punto 7.17.3 Nessun reclamo o contestazione sarà accettato nel caso di utilizzo di cerchi forniti erroneamente7.4 La validità della garanzia e l’eventuale diritto di rimborso, decadono nel caso di problematiche di montaggio e/o discordanze sull’adattabilità dovute ad un qualsiasi utilizzo non corrispondente alle indicazioni fornite dal venditore e/o non descritte nelle schede allegate.

8 - Diritto applicabile e foro competente8.1 Per quanto non espressamente previsto, le vendite intercorse tra le parti, cui si applicano le presenti condizioni generali, saranno regolate dalla legge italiana con esclusione espressa della Convenzione di Vienna sulla vendita internazionale di beni mobili 11/04/1980.8.2 Per ogni controversia relativa o, comunque collegata ai contratti cui si applicano le presenti condizioni generali, sarà esclusivamente competente il foro di Treviso (Italia).
