General Sale Conditions

1. ORDERS – The purchase orders, as well as any commission, variations, exemptions, negotiations, bonuses, transactions or discounts stipulated by agents and brokers will only be valid if accompanied by written confirmation by the com-pany.2. PRICES - The prices are intended as net, for cash, for delivery ex-works, unless otherwise agreed. If, between the order date and the delivery date, an increase in the price of raw materials, labour, fuel, production costs, transport, etc. occurs, the seller may increase the agreed price. However, if the aforesaid price is more than 10% higher than the price agreed at the time of the order, the buyer may withdraw from the contract, by notifying the company by registered post or by certified email of his decision, within 10 days of receiving notification of the price increase.3. DELIVERIES - The terms of delivery are subject to the availability in the wa-rehouse and are purely indicative. Extension of the delivery dates does not give the buyer the right to request compensation or otherwise, with no exceptions. The buyer can communicate his intention to terminate the contract by registered letter only if the delay exceeds 60 days. Any claim for damages on his behalf is excluded.4. SHIPMENTS - The material travels at the risk and danger of the buyer and is in-tended as sold at the deposit site, thus waiving the seller of all responsibility even if it is supplied free of carriage. It will be the responsibility of the buyer to check the material before collection, making any reservations to the party concerned in the event of any breakages or differences in the quantities at the final delivery of the material, for which the seller cannot be held responsible.5. PAYMENTS - The place of payment is fixed and is exclusively at our headquar-ters. Even if a different place is envisaged in the contract or with the issue of drafts or promissory notes, the relevant clauses are intended only to facilitate payment by the buyer and do not entail a change of the place itself which remains fixed at our headquarters. Any stamp duty or collection fees, issued or applied, are borne by the buyer.6. RIGHT TO ISSUE DRAFTS - After ten days from the date established for payment, the company will be duly authorised to issue, sight drafts plus expenses, to cover the price, without prior notification.7. RETENTION OF TITLE - The goods are sold with lien agreement in accordance with articles 1523 et seq. of the Italian Civil Code. As a result, until full payment of the entire price, including any interest and all ancillary costs, the goods will remain the property of the seller. 8. INTEREST ON ARREARS - Commercial interests at current rates will be applied from the day established for payment to the seller.9. TERMINATION CLAUSE - In the event of failure to pay even a single part of the

material already supplied, and in the event that the buyer delays payment in any form envisaged for eight days, the seller will be entitled to consider the contract terminated with the subsequent exemption from the obligation to deliver the sup-plies not yet executed; the same applies in the event of insolvency, even if only apparent, of the purchaser.10. SOLVE ET REPETE - Under no circumstances including alleged defective ma-terial, can the buyer suspend or delay payments of the material that has been collected, without prejudice to the right to seek reimbursement for what he can prove to have unduly paid.11. CLAIMS and WARRANTY - Claims will not be considered unless they are made directly to the company within 15 days of receiving the goods. The buyer, who has made the claim within the permissible deadline, must make the entire batch of material available to the seller for inspection and, if faults and quality defects are detected, he will have the sole right to replacement of the defective material, excluding any compensation for damages. Under no circumstances does the sel-ler’s responsibility extend to the use which the buyer intends for the product, even if the seller has provided suggestions or advice on its installation, except for the proven use, based on the indications in the technical data sheet, corresponding to the product in question. When the goods are returned for an acknowledged and accepted defect with due authorisation from the company, the latter will only reimburse the cost of transportation excluding any other charges.12. INVALIDATION OF THE WARRANTY - On receiving the goods, the buyer must check the material thoroughly, in case there are any visible faults which are co-vered by our warranty. The buyer must file a claim that will only be valid if sent by registered letter or certified email, addressed directly to the company, within the 15-day deadline of receiving the material. Once this deadline has expired, the buyer will no longer be covered by the warranty for any defect that may be dee-med apparent in the opinion of an expert. If he has made a valid claim, the buyer must keep the entire batch of material available to the company. If, however, even a part of it is not available, the warranty will not be valid for the parts that are not available for inspection.13. COMPETENT COURT AND APPLICABLE LAW - Any dispute relating to the sup-ply, both by the seller and by the buyer, is assigned, subject to the Italian law, to the exclusive jurisdiction of the court of Reggio Emilia, all without prejudice to the seller’s right to go before another equally competent court.

THIS PRICE LIST CANCELS AND REPLACES ALL PREVIOUS PRICE LISTS.

MINIMUM AMOUNT FOR EACH INVOICE: Euro 200,00 (should this amount not be reached, we will be obliged to debit the invoice with the sum of Euro 10,00 as repayment of order processing).

DELIVERY: ex works.
