Art. 2Oggetto del contratto. Quantitativi minimi di acquisto2.1. L’acquisto è riservato a soggetti non consumatori (commercianti, grossisti, rivenditori, professionisti, ecc.) operanti in qualsia parte del mondo, che intendano rivendere a terzi i prodotti acquistati. 2.3. Gli ordini di acquisto dovranno raggiungere un importo minimo di € 100,00= - IVA esclusa -.2.4. Gli ordini di importo inferiore a € 100,00= non potranno essere accettati. 2.5. Il contratto tra il Fornitore e l’Acquirente si conclude esclusivamente attraverso la rete Internet mediante l’accesso dell’Acquirente all’indirizzo www.cis-spareparts.com, ove, seguendo le procedure indicate, redatte, oltre che in lingua italiana, anche in lingua inglese, l’Acquirente arriverà a formalizzare la proposta per l’acquisto dei beni di cui al precedente art. 2.1.3.2. L’Acquirente, con l’invio telematico dell’ordine d’acquisto, accetta incondizionatamente e si obbliga ad osservare, nei suoi rapporti con il Fornitore, le condizioni generali e di pagamento di cui al presente contratto.3.3. Il contratto di acquisto si conclude mediante l’esatta compilazione del modulo di richiesta e il consenso all’acquisto manifestato tramite l’adesione inviata on line, previa visualizzazione di una pagina web di riepilogo dell’ordine, stampabile, nella quale sono riportati gli estremi dell’ordinante e dell’ordinazione, il prezzo del bene acquistato, le spese di spedizione e gli eventuali ulteriori oneri accessori, le modalità e i termini di pagamento, l’indirizzo ove il bene verrà consegnato e i tempi della consegna.4.2. Nel momento in cui il Fornitore riceve dall’Acquirente l’ordinazione provvede all’invio di una e-mail di conferma e riepilogo dell’ordine, stampabile, nella quale sono anche riportati i dati richiamati nel punto precedente.4.3. Il contratto non si considera perfezionato ed effi cace fra le parti in difetto di quanto indicato al punto precedente.

Art. 5Modalità di pagamento5.1. Ogni pagamento da parte dell’Acquirente potrà avvenire unicamente per mezzo di uno dei metodi indicati nell’apposita pagina web dal Fornitore all’indirizzo www.cis-spareparts.com.5.2. L’inserimento, da parte dell’Acquirente, dei dati bancari relativi ai pagamenti, così come il riepilogo dell’ordine, avvengono su un’apposita linea, direttamente gestita dall’istituto bancario, protetta da sistema di cifratura SSL, e non sono pertanto intercettabili da soggetti esterni5.3. Nessun archivio informatico del Fornitore conserverà tali dati. Art. 6Tempi e modalità della consegna6.1. Il Fornitore provvederà a recapitare i prodotti selezionati e ordinati, con le modalità scelte dall’Acquirente o indicate sul sito web al momento dell’offerta del bene, così come confermate nella e-mail di cui all’art. 4.2.6.2. Ogni spedizione sarà corredata da una busta all’interno contenente la fattura ed eventuali documenti di trasporto, unitamente alle istruzioni di montaggio, ove necessarie.6.3. La consegna dovrà avvenire entro il termine indicato nell’ordine, come accettato nella e-mail di conferma di cui all’art. 4.2 o, qualora il termine non sia stato indicato nell’ordine, entro 60 giorni decorrenti dal primo giorno feriale successivo all’invio della e-mail di conferma di cui al punto 4.2. I termini di consegna sono indicativi e non sono termini essenziali ai sensi dell’art. 1457 del Codice Civile e, in ogni caso, non includono i tempi di trasporto.6.4. Salvo quanto previsto al precedente art. 6.3, il Fornitore non sarà considerato responsabile dei ritardi o della mancata consegna ascrivibili a circostanze che siano fuori dal suo controllo, quali a titolo meramente esemplifi cativo e senza pretesa di esaustività, dati tecnici inadeguati o imprecisioni o ritardi dell’Acquirente nella trasmissione di informazioni o dati necessari alla spedizione dei Prodotti, diffi coltà nell’ottenere rifornimenti delle materie prime, problemi legati alla produzione o alla pianifi cazione degli ordini, scioperi parziali o totali, mancanza di energia elettrica, calamità naturali, misure imposte dalle autorità pubbliche, diffi coltà nel trasporto, cause di forza maggiore, disordini, attacchi terroristici e tutte la altre cause di forza maggiore, ritardi da parte dello spedizioniere, ecc..6.5. Il verifi carsi di alcuni degli eventi sopra elencati non darà diritto all’Acquirente di richiedere il risarcimento degli eventuali danni o indennizzi di alcun genere.

Art. 7Spedizioni7.1. La merce si intende venduta franco magazzino, e viaggia a rischio e pericolo dell’Acquirente, anche se

venduta franco destino.7.2. L’obbligo di fornitura si intende pertanto adempiuto con la presa di consegna della merce da parte del vettore.7.3. Il Fornitore non sarà responsabile di inconvenienti derivati da ritardi o disguidi causati dal vettore, verso il quale l’Acquirente dovrà eventualmente rivolgere le proprie rimostranze.7.4. Il Fornitore sarà ritenuto responsabile per furto o danni connessi al trasporto nel solo caso in cui il vettore sia stato da lui scelto; in questo caso, previa certifi cazione scritta del vettore, il Fornitore sarà tenuto a rispedire la merce all’Acquirente per il suo intero valore.7.5. In ogni altro caso, l’Acquirente è tenuto a controllare la merce in arrivo ed a contestare eventuali danni direttamente al vettore, anche quando la merce è recapitata in porto franco.

Art. 8Prezzi8.1. Tutti i prezzi di vendita dei prodotti esposti e indicati all’interno del sito Internet www.cis-spareparts.com, sono espressi in euro e costituiscono offerta al pubblico ai sensi dell’art. 1336 c.c.; la quotazione uffi ciale è dunque in euro, ma viene consentita la quotazione in dollari USA; in ogni caso, la quotazione in euro dovrà essere considerata la base di calcolo per la quotazione in dollari USA.8.2. I prezzi di vendita, di cui al punto precedente, sono al netto dell’IVA e di ogni eventuale altra imposta. I costi di spedizione, consegna e postali, e gli eventuali oneri accessori se presenti, non ricompresi nel prezzo di acquisto, sono indicati nella procedura di acquisto prima dell’inoltro dell’ordine da parte dell’Acquirente e altresì contenuti nella pagina web di riepilogo dell’ordine effettuato.8.3. I prezzi indicati in corrispondenza di ciascuno dei beni offerti al pubblico hanno validità fi no alla data indicata nel catalogo.8.4. Il Fornitore si riserva espressamente la facoltà di proporre iniziative promozionali, indicate di volta in volta, e con appositi caratteri, su specifi ci Prodotti in catalogo.

Art. 9Disponibilità dei prodotti9.1. Il Fornitore assicura tramite il sistema telematico utilizzato l’elaborazione ed evasione degli ordini senza ritardo. A tale scopo indica in tempo reale, nel proprio catalogo elettronico, il numero dei prodotti disponibili e quelli non disponibili, nonché i tempi di spedizione.9.2. Qualora un ordine dovesse superare la quantità esistente nel magazzino, il Fornitore, tramite e-mail, renderà noto all’Acquirente se il bene non sia più prenotabile ovvero quali siano i tempi di attesa per ottenere il bene scelto, chiedendo se intende confermare l’ordine o meno.9.3. Il sistema informatico del Fornitore conferma nel più breve tempo possibile l’avvenuta registrazione dell’ordine, inoltrando all’Acquirente una conferma per posta elettronica, ai sensi dell’art. 4.2.

Art. 10Limitazioni di responsabilità10.1. Il Fornitore non assume alcuna responsabilità per disservizi imputabili a causa di forza maggiore nel caso non riesca a dare esecuzione all’ordine nei tempi previsti dal contratto.10.2. Il Fornitore non potrà ritenersi responsabile verso l’Acquirente, salvo il caso di dolo o colpa grave, per disservizi o malfunzionamenti connessi all’utilizzo della rete Internet al di fuori del controllo proprio o di suoi subfornitori.10.3. Il Fornitore non sarà inoltre responsabile in merito a danni, perdite e costi subiti dall’Acquirente a seguito della mancata esecuzione del contratto per cause a lui non imputabili, avendo l’Acquirente diritto soltanto alla restituzione integrale del prezzo corrisposto e degli eventuali oneri accessori sostenuti.10.4. Il Fornitore non assume alcuna responsabilità per

l’eventuale uso fraudolento e illecito che possa essere fatto da parte di terzi, delle carte di credito, assegni e altri mezzi di pagamento, per il pagamento dei prodotti acquistati, qualora dimostri di aver adottato tutte le cautele possibili in base alla miglior scienza ed esperienza del momento e in base all’ordinaria diligenza.10.5. In nessun caso l’Acquirente potrà essere ritenuto responsabile per ritardi o disguidi nel pagamento qualora dimostri di aver eseguito il pagamento stesso nei tempi e modi indicati dal Fornitore.

Art. 11 Non conformità11.1. Qualsiasi difformità dei Prodotti consegnati al Cliente rispetto al tipo ed alla quantità indicata nell’Ordine dovrà essere denunciata per iscritto al Fornitore entro otto giorni dalla data di consegna. Qualora la denuncia non venga comunicata entro il predetto termine, i Prodotti consegnati verranno considerati come conformi a quelli ordinati dall’Acquirente.

Art. 12Garanzia12.1. Il Fornitore garantisce i Prodotti per un periodo di un anno decorrente dalla data di consegna dei medesimi all’Acquirente; per ciò che concerne i ricambi delle macchine per caffè, pur garantendo la perfetta intercambiabilità, il Fornitore precisa e specifi ca che gli stessi non sono originali; i marchi citati compaiono all’esclusivo scopo di farvi riferimento, e appartengono ai rispettivi proprietari.12.2. L’Acquirente è responsabile della corretta installazione, dell’avviamento del funzionamento e dell’utilizzo dei Prodotti, e deve tenere conto delle regolamentazioni, certifi cazioni e leggi specifi che inerenti gli stessi.12.3. La garanzia non opererà con riferimento a quei Prodotti i cui difetti sono dovuti a:- danni causati durante il trasporto; - uso negligente o improprio degli stessi, compreso l’utilizzo di sostanze corrosive e/o chimiche; - inosservanza delle istruzioni del Fornitore relative al funzionamento, manutenzione ed alla conservazione dei Prodotti; - riparazioni o modifi che apportate dall’Acquirente o da soggetti terzi senza la preventiva autorizzazione scritta del Fornitore.12.4. Nel caso in cui sia operante la garanzia, per avere l’Acquirente denunciato i vizi e/o i difetti secondo le modalità e i termini di cui al presente articolo, il Fornitore si impegnerà, a sua discrezione, una volta accertata la fondatezza della denuncia, a sostituire o riparare ciascun Prodotto o le parti di questo che presentino vizi o difetti.12.5. L’Acquirente dovrà denunciare per iscritto al Fornitore, utilizzando il Modulo Reclami di CIS disponibile sul sito internet www.cis-spareparts.com, o a mezzo raccomandata a.r., utilizzando il Modulo Reclami di CIS allegato alla spedizione, la presenza di vizi o difetti entro 8 giorni dalla consegna dei Prodotti se si tratta di vizi o difetti palesi, oppure entro 8 giorni dalla scoperta in caso di vizi o difetti occulti o non rilevabili da una persona di media diligenza.12.6. I Prodotti oggetto di denuncia dovranno essere immediatamente inviati al Fornitore al seguente indirizzo: CIS S.r.l., Via Papa Giovanni XXIII n. 6, 28076 Pogno (NO) - Italy o in qualsiasi altro luogo che quest’ultima indicherà di volta in volta, a costi e spese a carico dell’Acquirente, al fi ne di consentire l’espletamento dei necessari controlli. La garanzia non copre danni e/o difetti dei Prodotti derivanti da anomalie causate da, o connesse a, parti assemblate/aggiunte direttamente dall’Acquirente Cliente o dal consumatore fi nale.12.7. Senza pregiudizio a quanto indicato nel precedente art. 12.3, e salvo il caso di dolo o colpa grave, il Fornitore non sarà responsabile per qualsivoglia danno derivante e/o connesso ai vizi dei Prodotti. In ogni caso, il Fornitore non sarà ritenuto responsabile per danni

indiretti e/o conseguenti quali, ad esempio, il mancato guadagno.

Art. 13Obblighi dell’Acquirente13.1. L’Acquirente si impegna a pagare il prezzo del bene acquistato nei tempi e modi indicati dal contratto.13.2. L’Acquirente si impegna, una volta conclusa la procedura d’acquisto on line, a provvedere alla stampa e alla conservazione del presente contratto.13.3. Le informazioni contenute in questo contratto sono state, peraltro, già visionate e accettate dall’Acquirente, che ne dà atto prima della conferma di acquisto.

Art. 14Cause di risoluzione14.1. Il Fornitore avrà facoltà di risolvere, ai sensi e per gli effetti dell’art. 1456 c.c., in qualsiasi momento mediante comunicazione scritta da inviare all’Acquirente, la singola Vendita nel caso di inadempimento delle obbligazioni previste dagli articoli 8 (Prezzi) e 13.1 (Pagamento del prezzo).

Art. 15Mutamento delle condizioni patrimoniali dell’Acquirente15.1. Il Fornitore avrà diritto a sospendere l’adempimento delle obbligazioni derivanti dalla Vendita dei prodotti, in base all’art. 1461 c.c., nel caso in cui le condizioni patrimoniali dell’Acquirente divenissero tali da porre in serio pericolo il conseguimento della controprestazione, salvo che sia prestata idonea garanzia.

Art. 16Tutela della riservatezza e trattamento dei dati dell’Acquirente16.1. Il Fornitore tutela la privacy dei propri clienti e garantisce che il trattamento dei dati è conforme a quanto previsto dalla normativa sulla privacy di cui al d.lgs. 30 giugno 2003, n. 196.16.2. I dati personali anagrafi ci e fi scali acquisiti direttamente e/o tramite terzi dal Fornitore CIS S.r.l., titolare del trattamento, vengono raccolti e trattati in forma cartacea, informatica, telematica, in relazione alle modalità di trattamento con la fi nalità di registrare l’ordine e attivare nei suoi confronti le procedure per l’esecuzione del presente contratto e le relative necessarie comunicazioni, oltre all’adempimento degli eventuali obblighi di legge, nonché per consentire un’effi cace gestione dei rapporti commerciali nella misura necessaria per espletare al meglio il servizio richiesto (art. 24, comma 1, lett. b, d.lgs. 196/2003).16.3. Il Fornitore si obbliga a trattare con riservatezza i dati e le informazioni trasmessi dall’Acquirente e di non rivelarli a persone non autorizzate, né a usarli per scopi diversi da quelli per i quali sono stati raccolti o a trasmetterli a terze parti. Tali dati potranno essere esibiti soltanto su richiesta dell’Autorità giudiziaria ovvero di altre autorità per legge autorizzate.16.4. I dati personali saranno comunicati, previa sottoscrizione di un impegno di riservatezza dei dati stessi, solo a soggetti delegati all’espletamento delle attività necessarie per l’esecuzione del contratto stipulato e comunicati esclusivamente nell’ambito di tale fi nalità.16.5. L’Acquirente gode dei diritti di cui all’art. 7 del d.lgs. 196/2003, e cioè del diritto di ottenere:a) l’aggiornamento, la rettifi cazione ovvero, quando vi ha interesse, l’integrazione dei dati;b) la cancellazione, la trasformazione in forma anonima o il blocco dei dati trattati in violazione di legge, compresi quelli di cui non è necessaria la conservazione in relazione agli scopi per i quali i dati sono stati raccolti o successivamente trattati;c) l’attestazione che le operazioni di cui alle lettere a) e b) sono state portate a conoscenza, anche per quanto riguarda il loro contenuto, di coloro ai quali i dati sono stati comunicati o diffusi, eccettuato il caso in cui tale

adempimento si rivela impossibile o comporta un impiego di mezzi manifestamente sproporzionato rispetto al diritto tutelato. L’interessato ha inoltre il diritto di opporsi, in tutto o in parte: I) per motivi legittimi al trattamento dei dati personali che lo riguardano, ancorché pertinenti allo scopo della raccolta; II) al trattamento di dati personali che lo riguardano a fi ni di invio di materiale pubblicitario o di vendita diretta o per il compimento di ricerche di mercato o di comunicazione commerciale.16.6. La comunicazione dei propri dati personali da parte dell’Acquirente è condizione necessaria per la corretta e tempestiva esecuzione del presente contratto. In difetto, non potrà essere dato corso alla domanda dell’Acquirente stesso.16.7. In ogni caso, i dati acquisiti saranno conservati per un periodo di tempo non superiore a quello necessario agli scopi per i quali sono stati raccolti o successivamente trattati. La loro rimozione avverrà comunque in maniera sicura.16.8. Titolare della raccolta e del trattamento dei dati personali è il Fornitore, al quale l’Acquirente potrà indirizzare, presso la sede aziendale, ogni richiesta.16.9. Tutto quanto dovesse pervenire all’indirizzo di posta (anche elettronica) del Centro (richieste, suggerimenti, idee, informazioni, materiali ecc.) non sarà considerato informazione o dato di natura confi denziale, non dovrà violare diritti altrui e dovrà contenere informazioni valide, non lesive di diritti altrui e veritiere, in ogni caso non potrà essere attribuita al Centro responsabilità alcuna sul contenuto dei messaggi stessi.

Art. 17Modalità di archiviazione del contratto17.1. Ai sensi dell’art. 12 del d.lgs. 70/2003, il Fornitore informa l’Acquirente che ogni ordine inviato viene conservato in forma digitale/cartacea sul server/presso la sede del Fornitore stesso secondo criteri di riservatezza e sicurezza.

Art. 18Comunicazioni e reclami18.1. Le comunicazioni scritte dirette al Fornitore dovranno essere inviate al seguente indirizzo:CIS S.r.l., Via Papa Giovanni XXIII n. 6 28076 Pogno (NO) Italy oppure trasmesse via fax al numero +39 0322 950864ovvero inviati tramite e-mail al seguente indirizzo info@cis-spareparts-com 18.2. L’Acquirente indica nel modulo di registrazione la propria ragione sociale o denominazione sociale completa, la propria sede, i propri dati fi scali (codice fi scale, Partita IVA, numero di iscrizione al Registro delle Imprese tenuto dalla Camera di Commercio), il numero telefonico, di fax e l’indirizzo di posta elettronica al quale desidera siano inviate le comunicazioni del Fornitore.

Art. 19Controversie19.1. Tutte le controversie derivanti da o connesse alle presenti Condizioni di Vendita e/o ad ogni Vendita saranno soggette alla esclusiva giurisdizione del Tribunale di Novara.

Art. 20Legge applicabile e rinvio20.1. Il presente contratto è regolato dalla legge italiana.

Art. 21Clausola fi naleIl presente contratto, redatto in lingua italiana ed in lingua inglese, abroga e sostituisce ogni accordo, intesa, negoziazione, scritto od orale, intervenuto in precedenza tra le Parti e concernente l’oggetto di questo contratto.

Identifi cation of the SupplierGoods object of these general terms and conditions are made available for sale by CIS S.r.l. with seat in Pogno (NO), Italy, Via Papa Giovanni XXIII n.6, tel. +39 0322 950116, fax +39 0322 950864, e-mail [email protected], registered with the Chamber of Commerce of Novara under n. 02151270036 of the Registry of Companies, fi scal code and VAT number 02151270036,hereinafter referred to as “Supplier”

Art. 1Defi nitions 1.1. The term “Online Sales Agreement for Online Sales” refers to the sales agreement related to the Supplier’s material movables, stipulated between the Supplier and the Buyer within a remote sale system by means of telematic tools and provided through the Supplier’s website www.cis-spareparts.com.1.2. The term “Buyer” refers to all subjects owning a one-man business, company or corporation – i.e. non-consumers –buying the Supplier’s products from the same within their own professional activity; Consumers as identifi ed by Law Decree 06.09.2005 n. 206 and sub. amendments are expressly excluded from these Sales Terms and Conditions.1.3. The term “Supplier” refers to the subject as indicated above, that is the information service provider. 1.4. The term “Products” refers to the material movables described and sold on www.cis-spareparts.com.

Art. 2Object. Minimum Purchase Quantity 2.1. By this contract, the Supplier sells and the Buyer remotely purchases, by means of the telematic tools made available by the Supplier, the Products.2.2. Purchase is reserved to non-consumer subjects (dealers, wholesalers, retailers, professionals, etc.) operating worldwide and who intend to sell the purchased products to third parties. 2.3. Purchase orders shall have a minimum amount of 100.00 Euro, VAT excluded. 2.4. Orders lower than € 100.00 will not be accepted.2.5. Products defi ned in the previous point 2.1 are shown on the website page www.cis-spareparts.com. The product descriptions and pictures as well as the indications given for shape, performance, use and features, are only explanatory.2.6. The Supplier has the right to withdraw from any possible obligation undertaken in case of manifest errors or imprecisions regarding the products sold on the www.cis-spareparts.com website.

Art. 3Contract Stipulation Provisions3.1. The contract between the Supplier and the Buyer is stipulated exclusively through the Internet when the Buyer accesses www.cis-spareparts.com, where, by following the procedures indicated therein, written both in English and Italian, the Buyer will formalize the offer for the purchase of the goods as of art. 2.1.3.2. The Buyer, by telematically sending the purchase order, will unconditionally accept and commit to comply with the general terms and conditions and payment conditions set forth by this contract for his relationships with the Supplier.3.3. The Supplier will not be bound by terms and conditions other than those set forth by this contract unless previously agreed upon in writing.

Art. 4Closure and Effi cacy of the Contract4.1. The purchase contract is closed by properly fi lling in the application form and purchase authorization

expressed through the acceptance sent online, by displaying a printable order summary web page including the buyer’s details and order data, the price of the purchased item, shipment costs and additional charges provided for, if any, payment terms and conditions, delivery address and date.4.2. Upon receipt of the Buyer’s order, the Supplier will send email including the printable order confi rmation and summary as well as the data defi ned by the previous point.4.3. Failing compliance with the previous clause, the contract will not be deemed as valid and effective.

Art. 5Payment Terms and Conditions5.1. The Buyer shall place all payments exclusively through one of the methods indicated by the Supplier on www.cis-spareparts.com.5.2. The Buyer will enter the bank details related to payments, as well as the order summary, through a dedicated line featuring SSL encoding and directly handled by the bank itself, that cannot be intercepted by external subjects. 5.3. The Supplier shall not save the above data on any digital means. Art. 6Delivery Time & Conditions 6.1. The Supplier will deliver the selected and ordered goods according to the conditions chosen by the Buyer or indicated on the website upon offer of the item, as well as confi rmed by email as set forth by art. 4.2. 6.2. An envelope containing the invoice and the transportation documents, along with assembly instructions where applicable, will be enclosed to all shipments. 6.3. Delivery shall be carried out within the term indicated on the order, as accepted in the confi rmation email according to art 4.2 or, failing indication of such term on the order, within 60 days starting from the fi rst working day subsequent to sending of the confi rmation email as set forth by art 4.2. Delivery terms are to be intended just as an indication and will not be binding as set forth by art. 1457 of the Civil Code and will not in any case provide for transportation times.6.4. Save for the provisions set forth by art. 6.3 above, the Supplier shall not be held liable in case of delays or failure to deliver due to circumstances that may be out of his control, such as, including but not limited to, inadequate technical data, imprecisions or delays by the Buyer in transmitting information or data required for shipment of the Products, diffi culties in obtaining raw materials, problems related to production or planning of orders, partial or total strikes, lack of electricity power, natural disasters, special measures imposed by public authorities, transportation issues, causes of force majeure, disorders, terroristic attacks and all other causes of force majeure, courier’s delays, etc. 6.5. Occurrence of any the a/m events will not entitle the Buyer to claim for possible damage or compensation of any kind.

Art. 7Shipments7.1. The goods will be sold ex warehouse and will travel at the Buyer’s risk, even if sold free delivery.7.2. The supply obligation will be therefore complied with upon delivery of the goods by the vector.7.3. The Supplier will not be held responsible for inconveniences deriving from delays or errors caused by the vector, to whom the Buyer will have to address all claims.7.4. The Supplier will be held responsible for thefts or damages connected to transport only when the same chooses the vector; in this case the Supplier shall resend the goods to the Buyer for its entire value upon written certifi cation by the vector,. 7.5. In any other case, the Buyer shall inspect the

incoming goods and claim any possible damage directly to the vector, even when goods are shipped FOB.

Art. 8Prices8.1. All sale prices of the displayed products and indicated on www.cis-spareparts.com, are expressed in Euro and offered to the public according to art. 1336 of the Civil Code; the offi cial quotation is therefore in Euro, but US dollars quotation is also provided for; the Euro quotation will be however considered as the calculation basis for quotations in US dollars. 8.2. The a/m sale prices are net of VAT and any other tax. Shipment, delivery and mailing fees as well as any other additional charges, if applicable and not included in the purchase price, will be indicated in the purchase procedure before forwarding of the order by the Buyer and also set out on the executed order summary web page. 8.3. Prices indicated next to each item offered to the public will be valid up to the date indicated on the catalogue.8.4. The Supplier expressly reserves himself the right to propose promotional initiatives on specifi c catalogue products indicated from time to time and with special characters.

Art. 9Product Availability 9.1. The Supplier will guarantee processing and execution of orders by telematic system with no delay. For such purpose he will indicate in real time the number of available and unavailable products, as well as shipment times on his electronic catalogue. 9.2. Should an order exceed the quantity in stock, the Supplier will notify the Buyer by email if the item is no longer order, i.e. the time required to obtain the selected goods, and asking the Buyer if he intends to confi rm the order.9.3. The Supplier’s IT system will confi rms the executed order registration in the shorter possible time, forwarding an email confi rmation to the Buyer according to art. 4.2.

Art. 10Liability Exclusion10.1. The Supplier will not be held liable for ineffi ciencies due to force majeure in case of unsuccessful execution of orders within the times provided for by the contract.10.2. The Supplier will not be held responsible toward the Buyer, save for wilful misconduct or gross negligence, for ineffi ciencies or malfunctions connected to the use of the Internet out of his own or his subcontractor’s control. 10.3. The Supplier will also not be held liable for damages, losses and costs suffered by the Buyer for failed execution of the contract due to causes not ascribable to him, the Buyer having the only right of total refund of the price paid and any ancillary costs.10.4. The Supplier will not be held liable for fraudulent and illicit use by third parties of credit cards, bank cheques and other payment means to pay the purchased products, as long as he proves to have adopted all the possible precautions based on the best technology and experience of the time and based on ordinary diligence.10.5. The Buyer will never be held liable for payment delays or issues as long as he proves to have placed the payment within the times and methods provided for by the Supplier.

Art. 11 Non Compliance11.1. Differences n the Products delivered to the Client regarding the type and quantity indicated by the Order must be notifi ed in writing to the Supplier within eight days from delivery. Failing such notice within the a/m term, the delivered Products will be considered as complying with the ones ordered by the Buyer.

Art. 12Warranty12.1. The Supplier will offer a one-year guarantee on the Products starting from the date of delivery of the same to the Buyer; though perfect interchangeability of coffee machine spare parts is guaranteed, the Supplier states and specifi es that the same are not original parts; the indicated brands are shown only for reference and belong to their respective owners.12.2. The Buyer will be responsible for proper installation, activation and use of the Products, and shall comply with the regulations, certifi cations and specifi c laws related to the same.12.3. The warranty will not cover the Products which defects are due to:- damages caused during transport;- misuse or improper use of the same, including the use of corrosive and/or chemical substances;- non-observance of the Supplier’s instructions for activation, care and preservation of the Products;- repairs or modifi cations carried out by the Buyer or by third subjects without the Supplier’s written consent. 12.4. Should the Buyer notify the faults and/or defects during the warranty coverage period and according to the methods and terms set forth by this article, the Supplier pledges, at his own discretion and once verifi ed the grounds of the claim, to replace or repair all Products or parts of the same affected by the a/m faults or defects.12.5. The Buyer shall notify in writing the faults or defects to the Supplier, by fi lling in the CIS Claim Form available on www.cis-spareparts.com, or by registered letter, fi lling in the CIS Claim Form enclosed to the shipment documents, within 8 days from delivery of the Products in case of evident faults or defects, or within 8 days from discovery in case of hidden faults or defects not noticeable by a person of average diligence.12.6. The Products object of the claim shall be immediately sent to the Supplier at the following address:CIS S.r.l., Via Papa Giovanni XXIII n. 6, 28076 Pogno (NO) - Italyor to any other location that he shall indicate from time to time, all costs and expenses charged to the Buyer; so as to enable the required controls. The warranty will not cover damages and/or defects deriving from faults caused by, or connected to, parts assembled/added directly by the Buyer Client or by the fi nal consumer. 12.7. Holding fi rm the provisions of which at art. 12.3 above, and save for cases of wilful misconduct or gross negligence, the Supplier will not be held liable for damages arising from and/or connected to defects of the Products. However, the Supplier will not be held responsible for indirect and/or consequent damages such as, for example, loss of earnings.

Art. 13Buyer’s Obligations13.1. The Buyer pledges to pay the price of the purchased goods within the time and conditions set forth by this contract.13.2. The Buyer pledges to print and keep this contract once concluded the online purchase procedure. 13.3. The information contained in this contract have already been read and accepted by the Buyer who acknowledges it before purchase confi rmation.

Art. 14Grounds for Termination14.1. Pursuant to and by effect of art. 1456 of the Civil Code, the Supplier will have the right to terminate a single Sale in case of non-fulfi lment of the obligations as set forth by articles 8 (Prices) and 13.1 (Payment of the Price), at any time by written notice to the Buyer,

Art. 15Change of the Buyer’s Patrimony Status15.1. Should the Buyer’s patrimony status become such as to put at serious risk the fulfi lment of the counter-

performance, the Supplier will be entitled to suspend his obligations deriving from the Products Sale according to art. 1461 of the Civil Code, save for submission of adequate warranty.

Art. 16Privacy Protection and Treatment of the Buyer’s Data 16.1. The Supplier protects his clients’ privacy and guarantees a data treatment complying with the privacy regulations in force as set forth by Law Decree June 30 2003, n. 196. 16.2. The personal and fi scal data acquired directly and/or through third parties by CIS S.r.l., owner of the treatment, will be collected and treated with paper, IT, telematic means, according to the treatment methods and with the purpose to record the order and implement the required procedures for the execution of this contract and related communications, as well as fulfi lment of law obligations, and to ensure an effective management of the commercial relationships required to perform the service in the best possible way. (art. 24, par. 1, Letter b, L.D. 196/2003).16.3. The Supplier pledges to treat and protect the data and information transmitted by the Buyer without disclosing them to unauthorized persons, nor to use them for purposes other than those for which they have been collected or transmit them to third parties. The data can be disclosed only upon request by the Legal Authority i.e. other authorities authorized by law. 16.4. The personal data will be disclosed, upon signing of a data confi dentiality agreement regarding the same, only to subjects entrusted to perform the activities required for the execution of the stipulated contract and communicated exclusively for such purpose. 16.5. The Buyer is entitled to the rights of which at art. 7 of L.D. 196/2003, i.e. the right to obtain:a) updates, amendments, that is, when he has the interest, data integrations;b) cancellation, transformation in anonymous form or blocking of the data treated by infringing the Law, including those for which preservation is not required based on the purposes for which the data has been collected or subsequently treated;c) proof that the operations defi ned by letters a) and b) have been notifi ed, also including their content, to those to whom the data have been communicated or disclosed, save for impossibility to fulfi l such obligation or need to adopt means clearly disproportionate with regards to the protected right. The interested party will also have the right to deny consent, totally or in part: I) for reasons legitimate to the treatment of his personal data, even if pertinent to the collection purpose; II) to the treatment of his personal data for advertising material, direct sale, market surveys or commercial communications.16.6. Communication of the Buyer’s own personal data is required for the correct and prompt execution of this contract. Failing such condition, the Buyer’s request will not be processed.16.7. However, the acquired data will be preserved for a period not exceed the time required for the purposes for which they have been collected or subsequently treated. Their removal will be performed in a safe manner.16.8. The Supplier is the owner of the personal data collection and treatment and the Buyer may address to the Supplier’s seat all requests.16.9. All materials received by the Centre postal (and email) address (requests, suggestions, ideas, information, materials, etc.) will not be considered as confi dential information or data, it shall not infringe others’ rights and it shall contain valid information, not prejudicial to others’ rights and true; in any case the Centre will never be held liable for the content of such messages.

Art. 17Contract Filing Methods17.1. According to art. 12 of Law Decree 70/2003, the

Supplier informs the Buyer that all orders received are fi led digitally/on paper on the server/at the Supplier’s Seat based on privacy and safety criteria.

Art. 18Communications and Claims18.1. Written communications to the Supplier must be sent to the following address:CIS S.r.l., Via Papa Giovanni XXIII n. 6 28076 Pogno (NO) Italy or sent by fax at+39 0322 950864or sent by email to the following [email protected]. The Buyer will indicates his full company title or name, his seat, his fi scal data (fi scal code, VAT number, Chamber of Commerce Registration number), telephone number, fax number and email address to which he wishes the Supplier to send all communications.

Art. 19Disputes19.1. All disputes deriving from or connected to this Sale Terms and Conditions and/or to any Sale will be subject to the exclusive jurisdiction of the Court of Novara.

Art. 20Applicable Law and Deferment20.1. This contract is regulated by the Italian Law.

Art. 21Final ClauseThis contract, drawn up in Italian and English, cancels and replaces all agreements, understanding, negotiations, written or oral, previously undertaken between the Parties and concerning the object of this contract.
