I Soci della Scudo Investimenti SG S.p.A. sono convocati in Assemblea che avrà luogo presso la Sede Legale
(Repubblica di San Marino, Dogana - Via III Settembre n. 99) il giorno 29 maggio 2013 alle ore 14,30 in prima
convocazione ed alle ore 15,00 in seconda convocazione, per deliberare sul seguente

RELAZIONE DEL CONSIGLIO DI AMMINISTRAZIONE
Signori Soci,
in conformità alle norme di legge e di Statuto, il Consiglio di Amministrazione sottopone al Vostro esame ed
alla Vostra approvazione il progetto di bilancio relativo all’esercizio 2012.
Prima di illustrare i dati contabili, corre l’obbligo ricordare i momenti più significativi che hanno caratterizzato
questo esercizio sociale.
Scenario economico e finanziario internazionale
Nella prima parte del 2012 l’economia mondiale ha continuato ad espandersi a ritmi contenuti, frenata
dalla stagnazione in Europa e dal rallentamento negli Stati Uniti e nei Paesi emergenti. In primavera l’attività
economica si è indebolita; l’incertezza circa l’evoluzione del debito sovrano nell’area dell’Euro e sulla politica
di bilancio negli Stati Uniti ha condizionato le prospettive di ripresa. Riflettendo la debole congiuntura
internazionale, sono scesi significativamente il prezzo del petrolio e le quotazioni di altre materie prime.
L’inflazione si è generalmente ridotta. Le tensioni sui mercati finanziari dell’area Euro, che si erano attenuate
nei primi mesi dell’anno, da Aprile si sono nuovamente intensificate. L’aumento dell’avversione al rischio
ha continuato a comprimere i rendimenti dei titoli dei Paesi ritenuti più sicuri, mentre si è assistito ad
un allargamento dello spread a livelli record in Italia e Spagna, così come in tutti i Paesi periferici. Alle
preoccupazioni degli investitori circa la situazione politica in Grecia e le implicazioni del sistema bancario
spagnolo, si è aggiunta la percezione di una scarsa coesione dei governi nell’orientare la riforma della
governance europea e nell’adeguare i meccanismi di gestione della crisi nell’area Euro.
Nella seconda parte dell’anno l’economia mondiale ha rallentato, risentendo dell’indebolimento dell’attività sia
nei Paesi avanzati sia in quelli emergenti. Hanno pesato l’incertezza in merito alla politica di bilancio negli Stati
Uniti, all’evoluzione della domanda nei Paesi emergenti e agli sviluppi della crisi del debito sovrano nell’area
Euro. Le principali banche centrali hanno intensificato l’azione espansiva. Nell’area Euro si confermano i divari
di crescita tra i Paesi, ma il rallentamento si è esteso alle economie più solide. L’inflazione è stata alimentata
dai rincari dei prodotti energetici e dalle manovre fiscali in alcuni Paesi.
Il Prodotto Interno Lordo dell’area Euro ha rallentato nel primo trimestre e la situazione non è migliorata nel
corso dell’anno, attestandosi nel IV trimestre, secondo le prime stime pubblicate da Eurostat, a -0,90%
a/a, in Spagna a -1,8%, in Francia a -0,30% e in Italia a -2.70%. Dati positivi solo in Germania con un PIL
che chiude il IV trimestre con + 0,40% a/a, oltre agli Stati Uniti con + 1,50% e Cina con +7,90%. L’inflazione
al consumo ha continuato a scendere, collocandosi a metà anno al 2,4%. A fronte della stagnazione e delle

incertezze sulla crescita, la BCE (Banca Centrale Europea) ha ridotto ancora i tassi di interesse ufficiali,
portando il tasso sulle operazioni di rifinanziamento principali allo 0,75% e il rendimento dei deposit facility a
zero, continuando a mantenere elevata l’offerta di liquidità. E’ stato inoltre ulteriormente ampliato il novero
dei titoli ritenuti ammissibili come garanzia, in modo da favorire l’accesso delle banche al rifinanziamento BCE
e sostenere il flusso di credito a famiglie ed imprese. In Italia l’inflazione al consumo è rimasta, fino a metà
anno, stabile poco sopra al 3%, per poi collocarsi al 2,3% a dicembre. Resta sempre grave la situazione sul
fronte dell’occupazione che in alcuni Paesi come Spagna, Grecia ma anche Italia, ha toccato livelli record e
dove si riscontra un tasso altissimo di disoccupazione giovanile.
Il mercato obbligazionario nella prima parte dell’anno e soprattutto verso la fine del primo semestre ha
registrato un forte allargamento dello spread dei Paesi periferici europei nei confronti dei titoli governativi
francesi e tedeschi. Con riferimento a questi ultimi, per la prima volta si sono registrati tassi negativi sui titoli
con scadenza a breve, esprimendo una marcata avversione al rischio. Al contrario, i rendimenti dei titoli dei
Paesi periferici hanno toccato nella scadenza decennale oltre il 6%. Al vertice dei Capi di Stato e il Consiglio
europeo di Giugno sono state prese decisioni importanti con l’obiettivo di spezzare il circolo vizioso tra rischio
sovrano, fragilità dei sistemi bancari e crescita. All’inizio di Settembre la BCE ha annunciato le modalità di
attuazione delle nuove operazioni di acquisto dei titoli di Stato sul mercato secondario, subordinate a una
stretta condizionalità e concentrate su titoli con durata 1-3 anni e non soggette a limiti ex ante di entità e
durata. Gli annunci hanno avuto l’effetto di rallentare le tensioni sui titoli di debito sovrano dell’area Euro, che
erano tornate ad aggravarsi in estate. I premi per il rischio hanno registrato un calo generalizzato, soprattutto
nei Paesi più esposti alla crisi del debito. Nel terzo trimestre i rendimenti dei titoli governativi sono diminuiti
su tutte le scadenze: il calo si è trasmesso anche ai rendimenti delle obbligazioni delle banche e delle imprese
ed è stato accompagnato da una decisa ripresa delle quotazioni azionarie, grazie ad una maggiore fiducia
sugli esiti delle misure di austerity attuate da Grecia, Spagna e Italia.
I mercati azionari non hanno risentito, ad eccezione di Spagna e Grecia, dei dati economici deboli e
contrastanti. Seppur in un contesto di volatilità, gli indici si sono apprezzati, evidenziando alla fine dell’anno
percentuali di guadagno più che positive in alcuni casi (S&P New York +11,5%, Eurostoxx 50 +13,39%, MSCI
Europe +13%, CAC 40 Parigi +14,60%, DAX Francoforte +29,10%, FTSEMIB +7,8%).
I mercati valutari hanno anch’essi manifestato volatilità. Il Dollaro a inizio anno segnava 1,35 contro l’Euro
per poi apprezzarsi fino a 1,21 a luglio e tornare a fine 2012 vicino ad 1,33. Lo Yen è rimasto stabile fino ad
ottobre per poi scendere a livelli record grazie anche alla politica monetaria intrapresa nel Paese. La Sterlina si
è indebolita nel corso del primo trimestre per poi lentamente migliorare, toccando i massimi alla fine di luglio.
Prospettive
Come annunciato dalla BCE, l’economia mondiale rimane contraddistinta da una ripresa modesta,
disomogenea e fragile, ma sono emersi segnali di un suo rafforzamento. Il perdurante miglioramento degli
indicatori delle indagini congiunturali mostra che l’attività globale acquisisce gradualmente un certo slancio,

anche se il ritmo di recupero resterà probabilmente lento. In gran parte dei Paesi avanzati non appartenenti
all’area Euro sono emersi segnali di miglioramento, seppur incerti, ma diversi fattori continueranno a frenare
le prospettive di crescita a medio termine.
L’economia statunitense dovrebbe continuare a crescere a ritmi moderati quest’anno grazie al graduale
rafforzamento della domanda interna privata e al graduale venir meno dei fattori temporanei che avevano
agito da freno nel IV trimestre. La domanda interna privata è sorretta dalle condizioni finanziarie favorevoli, che
dovrebbero contribuire ad allentare i vincoli imposti alle famiglie nella fase di ristrutturazione dei loro bilanci.
Dal canto loro, le imprese evidenziano bilanci sani e posizioni di abbondante liquidità che, assieme al clima
di fiducia generalmente positivo, dovrebbero tradursi in una crescita degli investimenti e dell’occupazione.
Il mercato delle abitazioni continua ad espandersi ed è probabile che l’attività si rafforzi per soddisfare la
domanda latente dei nuovi nuclei familiari.
I Paese emergenti registrano un rafforzamento dell’economia, dopo la lieve moderazione osservata nel 2012
e dovrebbero quindi fornire in prospettiva, sempre secondo la BCE, un contributo significativo alla crescita
mondiale. In linea con gli andamenti dell’attività economica globale, anche il commercio internazionale ha
evidenziato segni di graduale ripresa. Nei Paesi emergenti dell’Asia, l’economia ha evidenziato una buona
tenuta nell’ultimo trimestre del 2012, grazie alla ripresa della domanda interna e al graduale miglioramento
del contesto mondiale. Si prevede in prospettiva un graduale rafforzamento della crescita sulla scia del
migliorato contesto esterno e dell’irrobustimento della domanda interna.
Con riferimento all’area Euro, non si intravede ancora un miglioramento nell’economia reale sebbene ci
siano segnali di stabilizzazione. Si prevedono minori contributi dei consumi privati e collettivi alla crescita per
l’anno in corso e per il prossimo, a causa della persistente incertezza nell’area Euro e delle ulteriore misure di
risanamento delle finanza pubbliche. La Banca Centrale Europea nell’ultimo bollettino mensile ha abbassato
le stime del PIL dell’area Euro (EA-17): le aspettative di crescita per il 2013 e il 2014 sono state infatti riviste
al ribasso rispetto all’indagine precedente, rispettivamente, di 0,3 e 0,2 punti percentuali e si collocano ora
a quota 0% per il 2013 e all’1,1% per il 2014. Le previsioni sulla disoccupazione sono state riviste al rialzo,
portandole al 12,10% per il 2013 e all’11,9% nel 2014. Per quanto riguarda l’inflazione annuale è prevista in
discesa sotto il 2%, in linea con l’obiettivo di mantenere il tasso di inflazione sui livelli inferiori, ma prossimi,
al 2% nel medio periodo.
Scenario economico e finanziario della Repubblica di San Marino
L’anno appena concluso ha registrato un’ulteriore riduzione delle imprese operanti a San Marino di 301
unità (-5,4% su dicembre 2011) attestandosi a 5.307. La maggior parte dei settori registrano un decremento
numerico, ma il picco negativo si raggiunge nel settore “Attività immobiliari, informatica e servizi alle
imprese”, con una variazione di - 172 unità in un anno (-8,5%), seguito da “Commercio” e da “Industrie
manifatturiere”. Da segnalare anche il decremento nei settori “Attività finanziarie” con - 19 unità (-19,8%) e
“Trasporti e comunicazioni” con -16 unità (-9,1%).

Di conseguenza, il tasso di disoccupazione totale è ulteriormente cresciuto dal 6,82% del 2011 all’8,14% del
dicembre 2012, facendo restare elevato il ricorso alla Cassa Integrazione Guadagni per i primi dieci mesi
(+20%). In particolare l’industria manifatturiera è il ramo di attività economica che ne ha fatto più ricorso, con
un totale di ore liquidate pari al 53,2% del totale.1
La missione del Fondo Monetario Internazionale svoltasi nei primi mesi del 2013 ha costatato il permanere di
una situazione economica generale molto difficile: pur non disponendo di dati definitivi relativi all’anno 2012,
la crescita del PIL è stata stimata in diminuzione del 4/5% e questa tendenza, in linea di massima, si riproporrà
nell’anno in corso. Due sono le ragioni alla base: la recessione economica della vicina Italia, ma anche negli
altri Paesi, che si traduce in una domanda debole di prodotti e servizi turistici e il permanere di San Marino
nella black list italiana, che significa isolamento per le aziende sammarinesi.
A tal proposito giova menzionare che proprio in questi giorni, a quasi un anno di distanza dalla firma
dell’accordo sulle doppie imposizioni tra l’Italia e la Repubblica di San Marino avvenuta il 13 giugno scorso,
il Consiglio dei Ministri italiano ha ratificato la convenzione. Il nuovo accordo, che modifica la precedente
convenzione bilaterale del 2002, promuove un meccanismo di scambio di informazioni disegnato secondo gli
standard messi a punto dall’Ocse.
In merito al settore finanziario, gli esperti del Fondo sottolineano il trend positivo degli ultimi sei mesi sulla
stabilizzazione e in qualche caso la crescita dei depositi bancari, che nel triennio 2010/2012 avevano subìto
notevoli perdite.
La raccolta totale del sistema sammarinese a settembre 2012 (ultimi dati pubblicati) ammonta a 7.285 milioni
di Euro, equivalente a +0,21% rispetto al 31/12/2011. La raccolta diretta si presenta con 5.069 milioni di Euro,
registrando una diminuzione di 82 milioni di Euro, equivalente ad un decremento dell’1,6% rispetto all’anno
precedente. Sempre a fine settembre la raccolta indiretta ammonta a 2.217 milioni di Euro, con un aumento
di 97 milioni di Euro (+4,6%), evidenziando, pur tuttavia, un calo del 25% nelle gestioni patrimoniali.2

Principali dati sull’andamento della gestione aziendale
Dopo avere esposto i dati riguardanti lo scenario economico e finanziario, desideriamo illustrare gli altri
aspetti di rilievo che hanno caratterizzato la gestione aziendale. L’esercizio chiuso al 31 dicembre 2012 è il
sesto esercizio della Società. Al fine di consentire una lettura più immediata dei risultati di periodo, di seguito
sono riportate alcune delle principali voci di maggior interesse evidenziate in bilancio, mentre per il dettaglio
si rimanda alla lettura della Nota Integrativa.
Eventi rilevanti avvenuti nel 2012
Con riguardo agli eventi rilevanti che hanno interessato la SG nel corso dell’esercizio, si segnala quanto segue:
l’Assemblea dei Soci del 30 maggio 2012 ha nominato, quali nuovi membri del Collegio Sindacale, le Sig.
re Sandy Concetta Stefanelli e Meris Montemaggi, in sostituzione dei membri dimissionari, designando
quest’ultima quale Presidente;
con efficacia dal 1° luglio 2012, ottenute le relative autorizzazioni da parte della Banca Centrale della
Repubblica di San Marino, Banca Partner S.p.A. ha conferito il ramo d’azienda operante nel settore
bancario, ivi compresa la struttura organizzativa ed il relativo personale per lo svolgimento dell’incarico di
banca depositaria, alla società Credito Industriale Sammarinese S.p.A., interamente partecipata da Banca
Partner. In seguito all’operazione di conferimento, la società conferitaria, che ha assunto la denominazione
sociale “Banca Cis S.p.A.”, è subentrata nella convenzione di banca depositaria e di soggetto incaricato di
calcolare il valore delle quote dei fondi istituiti dalla SG;
l’Assemblea dei Soci tenutasi il 13 dicembre 2012 ha nominato, su proposta dell’azionista S.M.I. - San
Marino Investimenti S.p.A. in liquidazione coatta amministrativa (che deteneva, alla data, il 50% del capitale
sociale) in sostituzione del dimissionario Eugenio Buofrate, il consigliere Marco Tedeschi, che resterà in
carica, come il resto del Consiglio di Amministrazione, fino all’Assemblea che approverà il bilancio 2012.
Per quanto riguarda i prodotti, si riepilogano le principali novità.
A partire dal 27 aprile 2012 il Consiglio di Amministrazione ha deliberato l’avvio delle sottoscrizioni del
fondo “Scudo bilanciato”, comparto precedentemente autorizzato dall’Organo di Vigilanza.
In data 28 giugno 2012 il Consiglio di Amministrazione ha deliberato alcune modifiche al Regolamento
unico di gestione dei fondi aperti alternativi riservati a clienti professionali. Le principali variazioni, oltre
all’aggiornamento della scheda informativa della SG in ordine a quanto sopra riportato, riguardano:
(i) in fase di collocamento è data facoltà al collocatore di concedere agevolazioni in forma di riduzione

delle commissioni di sottoscrizione unicamente in misura fissa pari al 50%, 75% o 100%;
(ii) è stata aumentata l’agevolazione in forma di retrocessione delle commissioni di gestione a favore degli
operatori qualificati, dal 50% all’80%;
(iii) è stata modificata la determinazione del giorno di liquidazione delle commissioni di gestione e delle
commissioni di incentivo.
Le suddette modifiche, approvate dalla Banca Centrale della Repubblica di San Marino, hanno acquisito
efficacia dal mese di settembre 2012.
Sempre nel corso del 2012 è proseguita l’attività di selezione ed investimento in opere d’arte del fondo
“Scudo Arte Moderna”, le quali hanno raggiunto a fine esercizio le 48 unità, per un valore complessivo
stimato di 3 milioni di Euro. Il Consiglio di Amministrazione nella seduta del 18/04/2012, ha deliberato la
riapertura di nuove sottoscrizioni, la cui raccolta netta è rappresentata nelle tabelle che seguono.
Nel mese di dicembre 2012 ha preso avvio il fondo “Loan Management”, un fondo chiuso alternativo
riservato a sei banche sammarinesi, finalizzato alla gestione in monte e al recupero di un portafoglio di
crediti acquisito dalle stesse nell’ambito della liquidazione coatta amministrativa del Credito Sammarinese
S.p.A.. In virtù dell’atto di apporto dei crediti al fondo da parte delle sei banche, sottoscritto il 28 dicembre
2012 e registrato presso l’Ufficio del Registro della Repubblica di San Marino in data 10 gennaio 2013 al
Vol.2013 n. 273, il patrimonio del fondo è stato raccolto mediante un’unica emissione di quote, di eguale
valore unitario, sottoscritte mediante:
(i) conferimento ed apporto al fondo dei crediti e titoli rappresentativi di crediti acquisiti dalle sei banche
sammarinesi dal Credito Sammarinese in liquidazione coatta amministrativa ai sensi dell’atto di
cessione stipulato il 12.10.2011 e dei successivi atti stipulati ad integrazione di quest’ultimo e di ogni
diritto relativo ai medesimi, fatta eccezione dei crediti derivanti dai contratti di mutuo stipulati ai sensi
della Legge n. 110/1994 o da altre forme di prestiti convenzionati dallo Stato ovvero di quelli oggetto
di rinegoziazione da parte delle sei banche cessionarie prima della stipula dell’atto di apporto al fondo;
(ii) versamenti in denaro, di importo pari alle somme eventualmente incassate a qualunque titolo dalle
sei banche a valere sui crediti e titoli rappresentativi di crediti di cui alla lettera (i) precedente;
(iii) versamenti in denaro di importo corrispondente ai crediti derivanti dai contratti di mutuo stipulati ai
sensi della Legge n. 110/1994 ovvero da altre forme di prestiti convenzionati dallo Stato non oggetto
di apporto al fondo;
(iv) versamenti in denaro di importo corrispondente ai crediti rinegoziati dalle banche con i singoli debitori
e non oggetto di apporto al fondo.

L’andamento dei fondi gestiti: perfomance, patrimonio e raccolta
Le performance dei fondi istituiti dalla SG nel corso del 2012 hanno registrato gli effetti dei mercati finanziari
illustrati in precedenza, con una buona crescita di tutti i prodotti obbligazionari. Le performance dei comparti
azionari risultano più evidente nei fondi che investono nei mercati americani e del bacino del Pacifico.
Sinteticamente si registrano i risultati di seguito riportati, mentre per il dettaglio si rimanda ai prospetti
contabili dei fondi disponibili sul sito internet della Società.

L’andamento del valore della quota dei singoli fondi nel periodo 29 dicembre 2011 – 28 dicembre 2012 è

Il valore della quota a fine esercizio è pari ad Euro 5,588 ed ha registrato una performance, al netto delle
commissioni applicate e delle imposte, pari a 13,79%.

Nel corso del 2012 la SG ha registrato un incremento del patrimonio dei fondi da 33,4 milioni di fine 2011 a
circa 84 milioni di Euro a fine 2012. Escludendo il fondo “Loan Management”, l’incremento del patrimonio
si attesta a 10,7 milioni di Euro (+ 24%), frutto della raccolta netta come di seguito indicata e dell’effetto
mercato.

Assetto organizzativo
Nel corso dell’anno ha trovato piena operatività il processo riorganizzativo interno avviato nel corso
dell’esercizio precedente, come pure sono stati rivisti e migliorati i processi operativi e lo scambio di flussi
con la banca depositaria (ora Banca Cis, come precedentemente illustrato nel paragrafo “Eventi salienti del
2012”).
Nella seconda metà dell’esercizio la SG, conformemente alle previsioni normative (art. 132 comma
3 del Regolamento BCSM n. 2006-03), ha istituito una procedura interna definendo i passaggi formali di
un’operatività precedentemente svolta in modo maggiormente informale, volta alla verifica della correttezza
del procedimento di calcolo eseguito dalla banca depositaria prima di procedere alla pubblicazione del valore
della quota (cd. “soft nav”).
In stretto collegamento con quanto sopra, giova ricordare che nel 2012 non si sono registrate perdite derivanti
da errori nel calcolo della quota dei fondi comuni di investimento, come pure non si segnalano perdite
operative di alcun tipo nel corso dell’esercizio.
Intensa nel corso dell’esercizio è stata l’attività legata all’analisi tecnico-organizzativa in ordine all’istituzione
del fondo “Loan Management”, attività che ha consentito l’avvio del fondo nei tempi indicati dalle banche
committenti, risolvendo le varie complessità derivanti da un’operazione di salvaguardia del sistema bancario
sammarinese e, nello specifico, particolarmente innovativa per una società di gestione. Da un punto di vista
organizzativo, è stato predisposto all’interno della SG un nuovo e separato ambiente informatico con moduli
specifici per la gestione dei crediti ed è stata costituita una specifica struttura dedicata alla gestione contabile ed
amministrativa e di supporto al Comitato Tecnico. Quest’ultimo, costituito da membri nominati dall’Assemblea
dei Partecipanti, ha il compito di assistere il Consiglio di Amministrazione nel gestire il portafoglio crediti
detenuto dal Fondo, nonché coordinare e monitorare l’attività di consulenti e professionisti esterni, qualora
nominati, nel rispetto ed in ossequio delle deleghe operative fissate dall’Assemblea dei Partecipanti e dal
Consiglio di Amministrazione. In particolare, il Comitato deve assicurare la tutela degli interessi dei Fondo,
sovrintendendo al contenzioso, giudiziale e stragiudiziale e curando il recupero crediti.
La funzione di controllo interno (internal auditing) ha provveduto sia ai controlli previsti dalla Vigilanza sia ad
un’opera di confronto con lo staff e con la Banca Depositaria sulle tematiche di competenza.
Si riepilogano di seguito i servizi e le funzioni prestate in regime di outsourcing:
• funzione di Internal Audit, affidata alla società Solution s.r.l.;
• funzione di Risk Management, affidata al Dott. Guido Invernizzi.
Rimane in capo alla società Solution s.r.l. l’incarico di revisione contabile per il triennio 2010-2012, mentre il
compito di banca depositaria unitamente a quello di calcolare il valore complessivo netto del fondo e delle
relative quote sono affidati a Banca Cis S.p.A..
Infine, dall’inizio del 2012 è stato conferito il ruolo di Responsabile del Servizio di Prevenzione e Protezione
dai rischi, ai sensi della Legge 31/98 (“Sicurezza sul lavoro”), alla società Sicurezza e Salute s.r.l. di San Marino,
incarico precedentemente svolto dalla società SEA – Servizi Ambientali S.p.A..

Le commissioni attive derivanti dal servizio di investimento collettivo hanno rappresentato la principale
fonte di ricavi per l’anno 2012. L’attività della Società è infatti incentrata esclusivamente nella gestione del
patrimonio dei fondi comuni di investimento.
Più dettagliatamente, le commissioni per servizi di gestione collettiva pari ad Euro 1.572.987 sono
principalmente composte da:
• commissioni di gestione per Euro 699.264 (contro Euro 541.170 del 2011) costituiscono il 36,62% delle
commissioni attive e riflettono le maggiori masse medie dei fondi;
• commissioni di incentivo (o di perfomance) per Euro 873.388, pari al 45,74% delle commissioni attive e
riflettono il buon andamento dei fondi nel corso dell’esercizio;
• diritti di sottoscrizione e rimborso per Euro 336 pari al 0,02%.
Le altre commissioni attive, che si riferiscono alla retrocessione di commissioni ed oneri di intermediazione
sugli strumenti finanziari, sono pari a Euro 336.495, con un’incidenza del 17,62% sul totale delle com missioni
attive, contro Euro 273.375 del 2011.
Le commissioni passive pari a Euro 860.337 (contro Euro 277.395 del 2011) si riferiscono per Euro 228.239
a quanto corrisposto dalla SG per il collocamento dei prodotti gestiti ed Euro 262.016 per retrocessione di
commissioni di incentivo ed Euro 370.082 ai compensi corrisposti per il servizio di advisoring. Il margine di
intermediazione, comprensivo delle commissioni nette, a cui si aggiungono gli interessi attivi per Euro 2.545
ed i profitti da operazioni finanziarie, pari a Euro 390 (rispetto a Euro 746 dell’anno scorso) derivanti dal
risultato delle operazioni in cambi a fronte delle commissioni e spese percepite sui fondi espressi in divisa
estera, chiude a Euro 1.052.081 (+83%).
Con riferimento agli interessi attivi, come evidenziato in Nota Integrativa, si segnala che nel corso dell’esercizio
sono stati acquistati titoli obbligazionari nel portafoglio di proprietà per nominali 200.000 Euro, al fine di
ottimizzare la gestione della liquidità.
Le spese amministrative, pari ad Euro 619.878, comprensive degli oneri per il personale, hanno registrato un
aumento del 12% rispetto all’esercizio scorso (Euro 554.969). In particolare le consulenze tecniche, legali ed
amministrative ammontano a Euro 148.724, in aumento rispetto al dato 2011 (Euro 105.638, pari al 41%),
dovuto principalmente ai servizi per la gestione anagrafica degli strumenti finanziari e lo sviluppo dei prodotti,
alla esternalizzazione della funzione di controllo del rischio (precedentemente adibita a risorsa interna) e ad
un maggiore compenso corrisposto ai Condirettori. I costi di outsourcing informatico (comprensivo dei canoni
per le licenze d’uso e il noleggio delle attrezzature) pari a Euro 108.345, in calo rispetto al dato 2011 (Euro
110.707 -2%), le spese per il personale ammontano ad Euro 241.761 (+ 12%), in aumento rispetto all’esercizio
precedente per effetto dell’applicazione delle nuove tabelle retributive derivanti dal rinnovo contrattuale,
compreso di arretrati, oltre ad accantonamento effettuato a fronte del premio annuale legato al risultato
d’esercizio preso in esame. Le ulteriori voci riguardano i compensi per gli organi sociali per Euro 39.833 (+
11%), le spese di revisione Euro 16.784 (+5%), i canoni per la locazione dell’immobile pari a Euro 20.870
(+1%), gli oneri di vigilanza 8.886 (+41%). Le altre spese amministrative, pari ad Euro 34.676, risultano in calo

rispetto all’anno precedente.
La voce “altri proventi di gestione”, pari a Euro 13.339, comprende Euro 5.246 per parziale recupero del
canone licenza d’uso del sistema di risk management utilizzato dalla banca depositaria e recuperi di spese
varie per Euro 8.051.
Il bilancio di esercizio al 31 dicembre 2012, dopo avere registrato ammortamenti per Euro 8.914, oltre a
componenti straordinari negativi per Euro 1.215 e accertato imposte di competenza per Euro 60.179, chiude
con un utile netto pari a Euro 375.197.
Fatti rilevanti verificatisi dopo la chiusura dell’esercizio
Non si sono verificati eventi di rilievo tra la data di riferimento del presente bilancio d’esercizio e la data di
approvazione dello stesso da parte del Consiglio di Amministrazione, fatto salvo quanto di seguito indicato.
In data 26 febbraio 2013 Banca Cis - Credito Industriale Sammarinese S.p.A. ha acquistato da S.M.I. - San
Marino Investimenti S.p.A. in liquidazione coatta amministrativa il 50% del capitale sociale della SG. A seguito
della predetta operazione, Banca Cis - Credito Industriale Sammarinese S.p.A. è divenuta socio unico di Scudo
Investimenti SG S.p.A..
In data 21 gennaio 2013 si è tenuta l’Assemblea dei Partecipanti al fondo “Loan Management” per eleggere
i membri del Comitato Tecnico. In data 19 marzo 2013 la stessa Assemblea ne ha approvato il Regolamento,
che disciplina le funzioni ed i poteri delegati al Comitato.
In data 28 marzo 2013 il Consiglio di Amministrazione, facendo seguito ai chiarimenti forniti dalla Banca
Centrale della Repubblica di San Marino, ha deliberato i criteri e le procedure per considerare “quotati” gli
strumenti finanziari, individuando i “mercati regolamentati” cui fare riferimento per la rilevazione del prezzo.
In seguito a tale delibera, è stato predisposto, d’intesa con la Banca Depositaria, il “Documento sui criteri di
valutazione per il calcolo del valore della quota dei fondi” (pricing policy), che è divenuto parte integrante
della convenzione per l’incarico di banca depositaria e per il calcolo del valore delle quote dei fondi comuni
istituiti dalla SG, per la parte relativa agli strumenti finanziari.
La raccolta alla data del 29 marzo 2013 ha registrato, per quanto riguarda il comparto in Euro, sottoscrizioni
per un totale di Euro 4.473.000 e riscatti per Euro 11.545.508, con un saldo netto pari ad Euro -7.072.508;
per il comparto in Usd, sono state registrate sottoscrizioni per un totale di Usd di 1.407.840 e riscatti per Usd

Evoluzione prevedibile della gestione e valutazione in ordine al presupposto della continuità aziendale
Il presente bilancio è stato predisposto in continuità aziendale e ad oggi non vi sono elementi per ritenere tale
premessa non corretta.
Gli indicatori congiunturali attualmente disponibili, riferiti ai primi mesi del 2013, non evidenziano ancora
segnali di uscita dall’attuale fase recessiva. A ciò si aggiunge il permanere di una elevata volatilità sui
mercati finanziari, anche a seguito delle incertezze derivanti dalla insufficiente coesione politica europea

nell’individuare soluzioni economiche-monetarie condivise dai Paesi membri. Timidi segnali di ripresa sono
previsti solo nella seconda parte del 2013, ma strettamente vincolati all’evoluzione della crisi del debito
sovrano, alla normalizzazione del contesto politico e alla realizzazione delle riforme necessarie per fornire
slancio all’economia.
Per quanto riguarda il contesto sammarinese, la recente missione del Fondo Monetario Internazionale ha
evidenziato che è probabile che la recessione economica si protragga nel 2013, con una crescita ostacolata
da una domanda esterna debole e dal persistere degli effetti dell’inserimento di San Marino nella black list
fiscale italiana.
Sarà importante che il Governo ricostituisca considerevoli riserve finanziarie e a tal fine saranno necessari
- a detta del FMI - obiettivi più ambiziosi per quanto riguarda la riforma tributaria e la revisione della spesa
prevista. Infine, è stato preso atto da parte della delegazione che negli ultimi anni San Marino ha proceduto
ad un depotenziamento della normativa a tutela del segreto bancario e fiscale ed ha incrementato lo scambio
di informazioni in materia fiscale e di contrasto al riciclaggio di denaro. Il mantenimento di tale impegno verso
una maggiore apertura e trasparenza costituisce il miglior modo per riguadagnarsi la fiducia all’esterno.
Lusinghieri appaiono i risultati provvisori del primo trimestre 2013 in termini di redditività della SG, pur nella
consapevolezza che la persistente incertezza che caratterizza ancora il contesto economico-finanziario e di
settore non consentono agevoli previsioni in merito all’andamento atteso dei risultati economici.

Proposta di destinazione dell’utile

sottoponiamo alla Vostra approvazione il Bilancio di esercizio al 31/12/2012, corredato dai relativi documenti.
L’Assemblea dei Soci chiamata ad approvare il bilancio d’esercizio al 31 dicembre 2012 è indetta per il giorno
29 maggio 2013, alle ore 14,30 in prima convocazione e alle ore 15,00 in seconda convocazione.
In merito alla destinazione del risultato d’esercizio, Vi proponiamo che l’utile netto d’esercizio 2012 venga
destinato come segue:

Il bilancio dell’esercizio chiuso al 31 dicembre 2012 è stato redatto in conformità alla Legge sulle imprese
e sui servizi bancari, finanziari e assicurativi del 17 novembre 2005 n. 165, alla Legge sulle Società del 23
febbraio 2006 n. 47 e successive modifiche ed integrazioni, nonché in conformità alle disposizioni della Banca
Centrale della Repubblica di San Marino contenute nel Regolamento n. 2007-05 sulla redazione del bilancio
di esercizio delle società di gestione di fondi comuni di investimento.

NOTA INTEGRATIVA
Parte A - Criteri di valutazione
Sezione 1 – Illustrazione dei criteri di valutazione
I criteri di valutazione adottati sono conformi alle vigenti disposizioni di legge e in continuità con l’esercizio
precedente.
Il bilancio è stato redatto secondo i generali principi della prudenza, della competenza e nella prospettiva
della continuazione dell’attività.
Gli utili sono inclusi solo se realizzati entro la data di chiusura dell’esercizio.
I principi ed i criteri di valutazione più significativi adottati nella redazione del bilancio al 31 dicembre 2012
sono di seguito enunciati.
1. Cassa, crediti
1.1 Cassa
La cassa e gli altri valori in cassa sono iscritti al valore nominale.
1.2 Crediti verso enti creditizi
I crediti verso banche sono iscritti al valore di presumibile realizzo, calcolato in relazione alla situazione di
solvibilità del debitore. Nell’esercizio appena chiuso il valore di presumibile realizzo di tali crediti corrisponde
al loro valore nominale.
1.3 Crediti ed altre attività
I crediti verso la clientela sono stati iscritti in bilancio al valore di presumibile realizzo. La voce altre attività
comprende i crediti verso l’Erario per gli anticipi versati per imposte I.G.R..
2. Obbligazioni ed altri titoli a reddito fisso
Nella presente voce figurano tutti gli strumenti finanziari di debito presenti nel portafoglio della Società, quali
titoli di stato, obbligazioni, certificati di deposito e strumenti finanziari a reddito fisso o variabile.
Tali titoli possono sono classificati in due portafogli:
1. Portafoglio Immobilizzato: comprende gli strumenti finanziari destinati ad essere detenuti durevolmente
dall’azienda (fino alla scadenza naturale, salvo eventi eccezionali) perciò assume carattere di stabile

investimento;
2. Portafoglio non Immobilizzato: comprende gli strumenti finanziari detenuti a scopo di investimento, ma
con finalità di negoziazione per rispondere a necessità di tesoreria e di trading.
Il titolo detenuto al 31/12/2012 presenta le caratteristiche tali per essere ricompreso all’interno del
portafoglio non immobilizzato; a fine esercizio il portafoglio titoli non immobilizzato contiene strumenti
finanziari non quotati il cui valore di mercato è stato determinato sulla base di stime e di tecniche di
valutazione (mark to model) che tengono conto dei fattori di rischio correlati agli strumenti, facendo
il massimo utilizzo di fattori di mercato. La differenza fra il valore contabile del singolo titolo e il suo
valore di mercato è eventualmente contabilizzata a conto economico nella voce 60 “Profitti (perdite) da
operazioni finanziarie”.
Non è stata esercitata l’opzione di sommare al valore del singolo titolo il rateo interessi corrispondente
che trova collocamento nello stato patrimoniale attivo alla voce 130 “ratei e risconti attivi”.
3. Immobilizzazioni materiali ed immateriali
Le immobilizzazioni materiali sono iscritte al costo di acquisto aumentato degli oneri accessori e delle
spese incrementative. Le spese di manutenzione e riparazione che non comportano incremento del
valore patrimoniale dei beni sono imputate a Conto Economico dell’esercizio. Il valore iscritto in bilancio
è stato ottenuto deducendo dal valore contabile così definito gli ammortamenti effettuati. Le stesse sono
ammortizzate sulla base di aliquote economico-tecniche, determinate in relazione alle residue possibilità
di utilizzo dei beni. Tali percentuali trovano valido riferimento nelle aliquote ordinarie previste dalla vigente
normativa fiscale.
Le immobilizzazioni immateriali sono iscritte al costo di acquisto comprensivo degli oneri accessori e
ammortizzate a quote costanti per il periodo della loro prevista utilità futura. Tale periodo non è superiore a
quello previsto dalla normativa fiscale vigente.
4. Ratei e risconti
I ratei e risconti, attivi e passivi, sono rilevati secondo il principio della competenza temporale e sulla base
delle condizioni stabilite per i singoli rapporti dai quali derivano.
5. Debiti ed altre passività
I debiti verso banche e clientela, e le altre passività sono iscritti in bilancio al valore nominale.
6. Trattamento di fine rapporto di lavoro subordinato
Il Fondo trattamento di fine rapporto è stanziato a fronte del debito maturato a fine esercizio nei confronti
dei dipendenti, in conformità alle disposizioni di legge. Tale passività viene liquidata annualmente e, pertanto,
l’ammontare del Fondo trattamento di fine rapporto esposto in bilancio rappresenta esclusivamente il debito
per l’indennità di fine rapporto maturato nell’esercizio a favore dei dipendenti in organico alla chiusura
dell’esercizio sociale.

7. Costi e Ricavi
I costi e i ricavi sono rilevati in base alla competenza temporale.
8. Imposte sul reddito
Le imposte sul reddito dell’esercizio sono determinate sulla base di una realistica previsione degli oneri
d’imposta da assolvere, in ossequio alla vigente normativa fiscale.
Sezione 2 - Le Rettifiche e gli accantonamenti fiscali
Non vi sono rettifiche di valore ed accantonamenti effettuati esclusivamente in applicazione di norme
tributarie.

La voce “Credito per servizi di gestione di OICR” è composta da: Euro 225.624 per commissioni attive di
gestione, Euro 291.556 per commissioni di incentivo ed Euro 30 per altre commissioni. L’incremento dei
crediti vantati nei confronti della clientela è frutto delle maggiori performance realizzate dai fondi nell’ultimo
trimestre dell’anno e sono state incassate nei primi giorni del 2013.
Gli altri crediti, ammontanti ad Euro 9.139, rappresentano principalmente quanto vantato nei confronti dei
fondi per le spese addebitate nel corso dell’ultimo trimestre, quali spese di pubblicazione e documenti per il
pubblico, spese di certificazione, oneri di vigilanza. La voce ha subito un forte decremento rispetto all’esercizio

Gli strumenti finanziari e la liquidità dei fondi sono in giacenza presso la banca depositaria, Banca Cis S.p.A. Gli
altri beni “opere d’arte”, facenti parte del patrimonio del fondo “Scudo Arte Moderna”, sono depositati presso
un caveau di un istituto di vigilanza sammarinese, ad eccezione dell’ opera “Saltatore con l’asta” di Gerardo
Dottori che è custodita presso un caveau in Bologna, essendo stata dichiarata bene di interesse culturale ai
sensi dell’art. 10 comma 3 lettera a) e, come tale, sottoposta a tutte le disposizioni di tutela contenute nel
“Codice dei beni culturali e del paesaggio”. Le opere in attesa di consegna sono custodite per nostro conto
presso le case d’aste. Tra queste vi è l’ opera di Amedeo Modigliani “Portrait de jeune femme”, anche essa
recentemente dichiarata “bene di interesse culturale”.
I valori dei fondi denominati in Usd al 28/12/2012 sono stati convertiti utilizzando il cambio di riferimento
della BCE alla data del 28/12/2012 di 1,3183, mentre per i valori dei Fondi denominati in Usd al 29/12/2011
è stato utilizzato il cambio di 1,2889.

Signori Azionisti,
il progetto di bilancio d’esercizio chiuso al 31 dicembre 2012 che il Consiglio di Amministrazione sottopone
alla Vostra approvazione nei termini di legge, è stato redatto secondo la disposizioni della Legge 17 novembre
2005 n. 165 e successive modifiche ed integrazioni, della Legge sulle Società del 23 febbraio 2006 n. 47
e successive modifiche ed integrazioni, nonché in conformità alle disposizioni della Banca Centrale della
Repubblica di San Marino.
Il suddetto documento risulta pertanto costituito dallo Stato Patrimoniale, dal Conto Economico, dalla Nota
Integrativa e dalla Relazione del Consiglio di Amministrazione sull’andamento della gestione e sulla situazione
dell’impresa.
Detti documenti sono stati messi a disposizione del Collegio Sindacale nel rispetto del termine disposto
dall’articolo 83 della Legge 23 febbraio 2006 n. 47 e successive modifiche ed integrazioni.
La Vostra Società ha l’obbligo della nomina di un soggetto incaricato della revisione contabile per cui al
Collegio Sindacale compete solo l’attività di vigilanza e, con la presente relazione, siamo a renderVi conto del
nostro operato e dell’attività svolta.
Il progetto di bilancio espone un utile al netto delle imposte IGR di Euro 375.197, che trova rappresentazione
nei seguenti dati patrimoniali ed economici aggregati, ottenuti arrotondando per eccesso o per difetto

Attività di Vigilanza
Nel corso dell’esercizio chiuso al 31 dicembre 2012, il Collegio Sindacale ha svolto il suo incarico in base a
quanto prescritto dall’art. 63 e seguenti della Legge 47/2006 e successive modifiche ed integrazioni, vigilando
sull’osservanza della Legge, dello Statuto e dei principi di corretta amministrazione, riunendosi con periodicità
almeno trimestrale.
I controlli sono stati pianificati e svolti al fine di acquisire ogni elemento necessario a verificare l’attendibilità e
la conformità di quanto sottoposto a verifica. Per quel che attiene alle verifiche periodiche si rinvia ai verbali
del 27 gennaio 2012, 26 marzo 2012, 30 maggio 2012, 22 giugno 2012, 20 settembre 2012, 13 dicembre 2012,
15 febbraio 2013, 11 marzo 2013, 28 marzo 2013, 24 aprile 2013, trascritti sul libro del Collegio Sindacale ed
alle relative osservazioni effettuate.
Per quanto è stato possibile riscontrare durante l’attività di vigilanza, il Collegio Sindacale può affermare
quanto segue:
1. Ha svolto il proprio ruolo alle Assemblee degli Azionisti e alle riunioni del Consiglio di Amministrazione che
si sono svolte nel rispetto delle norme legislative e statutarie che ne disciplinano il funzionamento e con
riferimento alle quali può ragionevolmente assicurare la conformità alla legge e allo statuto sociale;
2. ha ottenuto dal Consiglio di Amministrazione informazioni sul generale andamento della gestione e sulla
sua prevedibile evoluzione;
3. ha acquisito conoscenza e vigilato, per quanto di sua competenza, sull’adeguatezza del sistema
amministrativo e contabile e sulla sua affidabilità a rappresentare correttamente i fatti di gestione, sia
attraverso l’esame dei documenti aziendali, sia mediante l’acquisizione di informazioni dai responsabili
delle funzioni aziendali, nonché sull’adeguatezza dell’assetto organizzativo della società;
4. ha svolto verifiche sull’osservanza degli adempimenti previsti dalla normativa antiriciclaggio e sulle attività
poste in essere dalla società;
5. non ha dovuto intervenire per omissioni del Consiglio di Amministrazione, ai sensi dell’art. 63, comma 1
punto 6), della Legge 47/2006 e successive modifiche ed integrazioni;
6. non ha ricevuto segnalazioni di fatti censurabili da parte dei soci e non sono state fatte denunce al Tribunale
ai sensi dell’art. 66 della Legge n. 47/2006 e successive modifiche ed integrazioni;
7. ha verificato l’osservanza delle norme di legge inerenti la formazione e l’impostazione del bilancio, nonché
verificato la rispondenza del bilancio ai fatti ed alle informazioni di cui si è avuto conoscenza a seguito
dell’espletamento dei doveri del Collegio Sindacale, così come verificato dalla società di Revisione atta al
controllo contabile;
8. tutte le risultanze delle attività e delle verifiche sono sempre state portate all’attenzione e discusse con il
Consiglio di Amministrazione.

Il Collegio Sindacale viste le risultanze dell’attività di vigilanza eseguite e di cui si è detto sopra si riserva
di verificare nel corso delle prossime riunioni che non sussistano anomalie e che sussista conformità alle
disposizioni ed ai regolamenti vigenti.
Il Collegio Sindacale ha preso atto della relazione della Società di revisione incaricata del controllo contabile
che attesta che il bilancio chiuso al 31 dicembre 2012, nel suo complesso, è conforme alle norme che ne
disciplinano i criteri di redazione ed è redatto con chiarezza e rappresenta in modo veritiero e corretto la
situazione patrimoniale e finanziaria e il risultato economico della Società.
Conclusioni
In considerazione di quanto in precedenza evidenziato e dei documenti sottoposti dall’Organo Amministrativo, il
Collegio Sindacale, tenuto conto delle osservazioni formulate che valgono quali informative e raccomandazioni
all’organo di gestione, sotto i profili di propria competenza, ritiene che non sussistano ragioni ostative
all’approvazione del progetto di bilancio di esercizio chiuso al 31 dicembre 2012.
Il Collegio Sindacale propone quindi di approvare il bilancio di esercizio così come predisposto dal Consiglio
di Amministrazione.

DIRECTORS’ REPORT
Dear Shareholders,
In accordance with relevant law provisions and with the Articles of Association, the Board of Directors hereby
submits the annual report drawn up as at 31st December 2012 for your examination and approval.
Before discussing the financial statements, the most significant events occurred during the 2012 financial
year are worth recalling.
International Economic and Financial Environment
In the first half of 2012 the world economy continued to grow at a subdued rate, due to stagnation in Europe
and an economic slowdown in the US and Emerging Countries. Economic and business activities deteriorated
during spring. Uncertainties surrounding sovereign debt in the Euro Zone and budget policies in the US largely
influenced prospects of economic recovery. As a result of the critical economic situation world-wide, the price
of crude oil and other raw materials fell remarkably. Inflation generally decreased. After having softened
during the early months of the year, tensions in the Euro zone financial markets escalated again as of April.
Higher risk aversion led to lower yielding government bonds in countries deemed to be safer, while the yield
spread hit new all-time highs in Italy and Spain, as well as in all other peripheral countries. While the political
situation in Greece and implications of the Spanish banking system concerned investors on the one hand,
on the other European governments apparently showed little cohesion in directing the reform of European
governance and adjusting mechanisms to cope with the crisis in the Euro zone.
The second half of the year was characterized by an economic slowdown worldwide, due to a slackening of
activities in developed countries and emerging economies alike. This was partly to be ascribed to uncertainties
over the US budgetary policy, performance of demand in Emerging Countries and mounting sovereign debt
in the Euro area. Major central banks intensified quantitative easing measures. While growth discrepancies
between countries in the Euro zone remained virtually unchanged, the sounder economies were also affected
by a slowdown. Inflation was fuelled by soaring prices in energy products and by the fiscal policies enacted
in certain countries.
GDP in the Euro zone fell during the first quarter and did not bounce back in the course of the year. According
to estimates published by Eurostat, GDP stood at -0.90% on average on an annual basis in the fourth quarter
(-1.8% in Spain, -0.30% in France, -2.70% in Italy). Only Germany did register +0.40% GDP annual growth

at year end, besides the United States (+1.50%) and China (+7.90%). Consumer inflation declined steadily,
reaching 2.4% at mid-year. In the face of stagnation and uncertainties over growth, the European Central Bank
further cut official rates bringing the interest rate on major refinancing operations to 0.75% and returns on
deposit facilities to zero, while keeping a high supply of liquidity. Moreover, the range of securities admissible
as collateral was further widened to favor access of European banks to ECB refinancing and consequently
support lending to households and entrepreneurs. Consumer inflation in Italy remained stable up until
mid-year, standing slightly above 3% and falling to 2.3% at year-end. Unemployment rates remain rampant,
reaching new all-time highs in countries like Spain, Greece and Italy where youth unemployment in particular
soared to alarming levels.
During the first semester and especially at mid-year the bond market was marked by strongly widening yield
spreads in European peripheral countries vis-à-vis French and German government bonds. As far as German
bonds are concerned, negative rates on short-term securities were registered for the first time, as a result of
strong aversion to risk. Conversely, returns on 10-year bonds of peripheral countries peaked to over 6%. At the
June summit of Heads of State and European Council important decisions were made with a view to breaking
the vicious circle of high sovereign debt, weak banking systems and subdued growth. Early in September
the ECB announced the implementing criteria relative to new purchasing operations of government bonds
on the secondary market, subject to strict conditionality and focused on securities with 1-3 year residual
maturity not subject to temporal or quantitative limitations. As a result of such announcements tensions
over sovereign debt in the Euro area – worsened during summer – appeased again. Risk premiums generally
declined especially in countries most exposed to sovereign debt problems. In the third quarter yields on
government bonds came down for all maturities: such decline also affected bank and corporate bonds and
was accompanied by an equity rally, as a result of greater confidence in the outcome of austerity measures
implemented in Greece, Spain and Italy.
Except for Greece and Spain, equity markets were not affected by the weak and contrasting economic data.
For all volatility, stock indexes appreciated even dramatically in some cases showing outstanding performances
at year end (S&P New York +11.5%, Eurostoxx 50 +13.39%, MSCI Europe +13%, CAC 40 Paris +14.60%, DAX
Frankfurt +29.10%, FTSEMIB +7.8%).
Currency markets were also marked by volatility. At year start the dollar stood at 1.35 against the euro, while
it appreciate at 1.21 in July and slipped again to 1.33 at year end. The Yen remained stable up until October,
then fell down to all-time lows partly due to the monetary policy undertaken by Japan. The British pound
weekend during the first quarter and then slowly improved to new all-time highs by the end of July.
Prospects
As stated by the ECB, the signs of recovery of the world economy remain modest, inhomogeneous and fragile.
This nonetheless there are grounds to believe that it will keep getting stronger and gain momentum, though

at a slow pace, given that economic indicators have constantly improved globally. For all uncertainties, most
advanced countries not belonging to the Euro zone have also shown signs of recovery, but several factors are
still hindering growth prospects in the medium term.
Growth in the US economy is expected to continue at a moderate pace in 2013 as domestic private demand is
getting stronger, while the curbing factors that had characterized the fourth quarter are fading out. Domestic
private demand is supported by favorable financial conditions that are expected to help households get out
of budget constraints. On the other hand, enterprises show sound budget positions and abundant liquidity
which together with increasingly confident business sentiment should turn out in greater investments and a
higher employment rate. The housing market is also continuing to expand and is likely to strengthen with a
view to being responsive to the latent demand of new households.
The economies of emerging countries are gradually improving after subdued growth in 2012. Hence,
according to ECB estimates, they are expected to contribute significantly to global economic growth. In line
with these trends, world trade has also shown signs of gradual recovery. Asian emerging countries proved to
be resilient during the last quarter of 2012 thanks to a robust domestic demand and a general improvement
of the world economic scenario. Domestic demand is expected to rise further and – coupled with a better
economic background – to sustain growth in the forthcoming months.
So far as the Euro zone is concerned, prospects for an improvement in the real economy still lie ahead,
though signs of stabilization are observed. Foreseeably, private and collective consumption will contribute
less to economic growth in 2013 and 2014, owing to persistent uncertainties affecting the Euro area and
measures to redress public finances. The European Central Bank in its latest monthly bulletin indicated lower
GDP growth estimates for the Euro zone (EA -17): as opposed to previous forecasts, growth rates for 2013
and 2014 have been revised downwards by 0.3 and 0.2 percent respectively, thus standing at 0% for 2013
and 1.1% for 2014. Conversely, projected unemployment rates have been revised upwards: 12.10% for 2013
and 11.9% for 2014. As for annual inflation, a decline below 2% is expected in line with the objective to keep
inflation rates below or around 2% in the medium term.
Economic and Financial Environment in the Republic of San Marino
During 2012 the number of enterprises and businesses working in San Marino further shrunk by 301 units
down to 5,307 (-5.4% compared to 2011). The majority of economic sectors have registered a similar decline,
though the most affected one was the ‘Real estate, IT and CorporateSservices’, with a fall by 172 units during
the year (-8.5%), followed by ‘Commerce’ and ‘Manufacturing’. Worth noting is also a 19 unit reduction in the
‘Financial Activities’ sector (-19.8%) and a 16 unit decrease in the ‘Transports and Communications’ sector
(-9.1%).
As a consequence, the unemployment rate surged from 6.82% in 2011 to 8.14% in 2012 and recourse to the
Wage Supplementation Fund remained ample during the first ten months of the year (+20%), especially on

the part of the manufacturing industry (with 8 total hours paid, that is 53.2% of total hours).1
The International Monetary Fund mission to San Marino conducted early in 2013 observed that a quite
difficult economic situation continues to affect all sectors of the country. Although final data for 2012 are
not yet available, GDP growth is estimated to have fallen by 4-5% and a similar decline is predicted for 2013.
Basically, there are two reasons for this: the economic recession in neighboring Italy and in other countries
on the one hand, which weakens tourist demand for goods and services, and the ongoing inclusion of the tiny
Republic on Italy’s tax black list on the other, which causes San Marino businesses to remain isolated.
Significantly, the Agreement for the Avoidance of Double Taxation between Italy and the Republic of San
Marino, signed last year on 13 June, has been recently ratified by the Italian Council of Ministers. The
agreement, which amends the previous 2002 bilateral treaty, provides for an Exchange of information
mechanism devised according to OECD standards.
As for the financial sector, IMF experts underline the positive trend observed during the last semester with
regard to bank deposits which appear to have stabilized and sometimes even slightly increased after severe
losses suffered in 2010-2012.
In terms of financial system, according to latest published data, overall deposits amounted to EUR 7,285 mln
in September 2012, that is +0.21% compared to 31 December 2011. Direct deposits were equal to EUR 5,069
mln, declining EUR 82 mln, that is 1.6% less compared to the previous year. Conversely, indirect deposits
stood at EUR 2,217mln, increasing EUR 97 mln (+4.6%) with a 25% fall, however, in discretionary asset
management.2

Selected Data on Business Performance
After illustrating the main data concerning the economic and financial background, we now wish to describe
what most significantly characterized business management during the fiscal year ended 31 Dec. 2012, the
sixth year of operation of Scudo Investimenti SG. For the purpose of reading end-of-period results at a glance,
here follows a list of major balance sheet items while a more detailed financial analysis is provided in the Note
to the Financial Statements.
Significant Events Occurred During 2012
With regard to significant events for the Company occurred during the fiscal year, the following are worth
recalling:
the Shareholders’ Meeting of 30 May 2012 appointed Ms. Sandy Concetta Stefanelli and Ms. Meris
Montemaggi as member and Chairperson of the Board of Statutory Auditors respectively, to replace the
outgoing auditors;
effective from 1st July 2012, having received the green light from the Central Bank of San Marino, Banca
Partner S.p.A. transferred – as a contribution in kind – its whole banking business, including its organizational
structure and staff as custodian bank, to Credito Industriale Sammarinese S.p.A., wholly owned by Banca
Partner. Following this ‘merging’ operation the resulting entity was called “Banca Cis S.p.A.”, replacing
Banca Partner as custodian bank and agent for the NAV calculation of Scudo mutual funds;
the Shareholders’ Meeting held on 13 December 2012 appointed, upon proposal of S.M.I. - San Marino
Investimenti S.p.A. forced into liquidation (which at the time owned 50% of the capital stock), Mr. Marco
Tedeschi to replace outgoing Director Mr. Eugenio Buonfrate. The new Director will remain in office until
the next Meeting which will be called to approve the 2012 financial statements.
As for products, here follows a summary of the main novelties.
The Board of Directors resolved to open subscriptions of the new ‘Scudo Balanced’ mutual fund starting
from 27 April 2012, following the necessary authorization obtained from the Regulator.
On 28 June 2012 the Board of Directors resolved on certain amendments of the Single Management
Regulations of Open-End Alternative Investments Funds Reserved for Professional Clients. Besides an
update of the general information concerning the Company – as illustrated above – the main changes
concerned the following points:

(i) during the placement period, the placing agent may grant a more favorable treatment in the form of
lower subscription fees to be applied only at fixed rates of 50%, 75% or 100%;
(ii) qualified intermediaries may be granted from 50% up to 80% reversal of management fees;
(iii) the criteria for determining the settlement day of management and performance fees have been
changed.
The changes listed above, approved by the Central Bank of San Marino, became effective as of September
2012.
During the fiscal year further works of art were selected and purchased as asset investment for the “Scudo
Modern Art” Fund. At year end the Fund counted 48 artworks for an overall value of about 3 million
Euros. On 18 April 2012 the Board of Directors resolved to open new subscription, the results of which are
described in the following tables.
In December 2012 the “Loan Management” Fund was incepted. This is a closed-end alternative
fund reserved for six San Marino banks, devised to manage and recover loans acquired from Credito
Sammarinese S.p.A. forced into liquidation. By virtue of the contribution deed signed on 28 December
2012 by the six contributing banks, and registered with the Registration Office on 10 January 2013 under
Vol.2013 n. 273, the Fund’s assets were gathered with a single issue of fund units, all for the same value,
subscribed as follows:
(i) by contributing the customer loans and other debt-claims, including any rights related thereto,
acquired by the six San Marino banks from Credito Sammarinese forced into liquidation in accordance
with the Transfer Deed concluded on 12 October 2011 and subsequent additional deeds, with the
exception of loans granted under Law no. 110/1994 or other forms of lending involving government
subsidies, and loans being renegotiated by the six banks prior to the signing of the contribution deed
to the Loan Management Fund;
(ii) by paying cash amounts equal to the amounts receivable at any title by the six banks vis-à-vis the
customer loans and debt-claims referred to in the previous paragraph;
(iii) by paying cash amounts equal to the amounts due with respect to loans contracted under Law no.
110/1994 or other forms of lending involving government subsidies, not contributed to the Loan
Management Fund;
(iv) by paying cash amounts equal to loans renegotiated by the banks with single debtors, not contributed
to the Loan Management Fund.

Scudo Mutual Funds Perfomance, Assets and Flows
Scudo mutual funds performance during 2012 reflects the trends observed in financial markets, as described in
the preceding paragraphs. All bond funds performed pretty well. As for equity markets, the most conspicuous
performance was that of funds investing in US and Pacific markets. Performance results are summarized
below: for further details please view the accounting data referred to each single fund by visiting the fund

Net Assets of the Funds
During 2012 the Company registered an increase in Funds assets from EUR 33.4 million at end 2011 to approx.
EUR 84 million at end 2012. Excluding the Loan Management Fund, the increase in assets has been EUR 10.7
million (+24%), as a result of net flows – as shown below – and market trends.

Organizational Structure
The internal reorganization undertaken in 2011 was successfully completed in the course of 2012. Likewise,
the operational and exchange processes of data flows with the custodian bank (now Banca Cis, as described
in the previous section ‘Significant events occurred in 2012’) were revised and improved.
In the second half of the fiscal year, in accordance with regulatory provisions set forth in art. 132, paragraph
3, of Central Bank Regulation no. 2006-03, the Company implemented an internal procedure whereby formal
criteria were laid down to verify the accuracy of net asset value calculations made by the custodian bank prior
to NAV publication (so-called “soft nav”).
In this regard it is worth recalling that no losses were stated during 2012 that could be ascribed to mistaken
calculations of mutual fund NAVs, nor to any other operational process.
The analysis conducted on the technical and organizational aspects of the “Loan Management” Fund was
a very demanding one, as the Fund had to be and actually was incepted within the timeframe established
by the contributing banks, in the context of a complex bailout operation of the San Marino banking system.
Certainly, the loan management fund was also an innovative instrument introduced in the Company. From an
organizational point of view, a separate IT environment was set up within the Company, equipped with special
modules, to deal with loan management. A special unit was also created for accounting and administration
purposes and also to support the Technical Committee. Such Committee, composed of members appointed
by the Participants’ Meeting, is in charge of assisting the Board of Directors in the management of loans held
by the Fund, as well as coordinating and monitoring external advisors and professionals, where appointed,
to ensure that they work in accordance with the tasks assigned to them by the Participants’ Meeting and
the Board of Directors. More specifically, the Committee shall ensure protection of the Fund’s interests by
overseeing both judicial and non-judicial disputes and loan recovery.
The internal auditing function performed the controls provided for by the Regulator and conducted audits
which involved the cooperation of employees of both the Company and the custodian bank.
Here follows a list of services and functions that have been outsourced:
- Internal Auditing, performed by the company Solution s.r.l.;
- Risk Management, assigned to Mr. Guido Invernizzi.
Solution s.r.l. is also the independent auditing firm to which the auditing of financial accounts for 2010-2012
has been assigned, while the custodian bank functions as well as the Fund and NAV calculations have been
entrusted to Banca Cis S.p.A..
Lastly, the San Marino firm named Sicurezza e Salute s.r.l. was entrusted at year start with risk prevention and
protection functions in accordance with Law no. 31/98 (‘Protection on the Workplace’), in substitution of the
previous supplier SEA – Servizi Ambientali S.p.A..

Fees earned from collective investment services have been the main source of revenue for 2012. The
Company’s business is centered exclusively on the asset management of mutual funds.
More specifically, mutual fund management fees and commissions equal to EUR 1,572,987 are mainly
composed of:
- management fees amounting to EUR 699,264 (as opposed to EUR 541,170 in 2011) which represent
36.62% of fees and commissions earned and reflect larger average assets of the Funds;
- incentive or perfomance fees amounting to EUR 873,388, that is 45.74% of fees and commissions earned,
reflecting the good fund performance during the fiscal year;
- subscription and redemption rights for EUR 336 equal to 0.02%.
Other fees and commissions earned, which refer to reversal of fees and financial instrument intermediation
charges, totalled EUR 336,495, accounting for 17.62% of total fees and commissions earned compared to EUR
273,375 in 2011.
Fees and commissions paid were equal to EUR 860,337 as opposed to EUR 277,395 in 2011. In particular,
EUR 228,239 were fees paid for distribution and placing of Scudo funds, while EUR 262,016 were reversal
of performance fees and EUR 370,082 consultancy and advisory fees. The operating income, including net
fees and commissions, interest earned for EUR 2,545 and gains from financial transactions for EUR 390 (as
opposed to EUR 746 in 2011) derived from forex transactions relative to foreign currency-denominated Funds
totaled EUR 1,052,081 (+83%).
With regard to interest earned - as also highlighted in the Note to the Financial Statements - it should be
borne in mind that during the fiscal year bonds for nominal EUR 200,000 were purchased for own portfolio
in order to best manage liquidity.
Administrative expenses, in the tune of EUR 619,878 including personnel expenses, increased 12% compared
to the previous fiscal year (EUR 554,969). Notably expenses for technical, legal and administrative consultancy
amounted to EUR 148,724 – 41% more than EUR 105,638 in 2011, largely due to securities master data
management, product development, outsourcing of risk management (previously assigned to an internal
resource) and higher remuneration for the Co-managers. Costs incurred for IT outsourcing (including licenses
for use and rental of equipment) were equal to EUR 108,345 - 2% less than 2011 (EUR 110,707), while
personnel expenses soared to EUR 241,761 – 12% more than the previous year due to the application of
new wage scales set out in the collective agreement, including arrears, and provisions made for performance
bonuses for the year.
Other items of expenditure concern directors’ and statutory auditors’ fees for EUR 39,833 (+11%), independent
auditors’ fees for EUR 16,784 (+5%), rental of premises for EUR 20,870 (+1%), supervision charges for EUR
8,886 (+41%). Other administrative expenses recorded for EUR 34,676 were less than the previous fiscal year.
‘Other operating income’ equal to EUR 13,339 includes: EUR 5,246 as partial recovery of license fees for use
of the Risk Management system used by the Custodian Bank; EUR 8,051 recovery of miscellaneous expenses.

The financial statements as at 31 December 2012 - less amortization, depreciation and impairment for
EUR 8,914, windfall losses for EUR 1,215 and income tax computed for the fiscal year in the amount of
EUR 60,179 – resulted in net profits equal to EUR 375,197.
Significant Events Occurred after Fiscal Year End
No significant events occurred during the period between 31 December 2012 and the date of approval by the
Board of this Annual Report, except for what described below.
On 26 February 2013, Banca Cis - Credito Industriale Sammarinese S.p.A. acquired from S.M.I. - San Marino
Investimenti S.p.A. forced into liquidation 50% of Scudo Investimenti SG’s capital stock. As a result of the
acquisition, Banca Cis - Credito Industriale Sammarinese S.p.A. has become the only shareholder of Scudo
Investimenti SG S.p.A..
The Meeting of Participants in the Loan Management Fund was called on 21 January 2013 to appoint the
members of the Technical Committee. On 19 March 2013, the Participants’ Meeting approved the Regulation
laying down the functions and powers of the Committee.
Following clarification provided by the Central Bank, on 28 March 2013 the Board of Directors resolved on the
criteria and procedures for considering financial instruments as ‘listed’, identifying the ‘regulated markets’
to be taken into account for the purpose of price determination. Subsequent to such resolution, a Pricing
Policy was formally agreed with the Custodian Bank, which forms integral part of the existing agreement on
custodian banking and NAV calculation, for the section concerning financial instruments.
As at 29 March 2013, subscriptions of euro-denominated funds reached an overall amount of EUR 4,473,000
while redemptions were in the tune of EUR 11,545,508, thus registering a net balance of EUR -7,072,508. As
for US dollar-denominated funds, overall subscriptions equaled USD 1,407,840 while redemptions amounted
to USD 405,143 with a net balance of USD 1,002,697.
Forward Looking Statements on a Going Concern Basis
These financial statements have been drafted on a going concern basis. As of today there are no grounds to
believe that this approach is not correct.
The economic indicators referred to the first months of 2013 do not seem to show a way out of the current
economic recession yet. Financial markets remain highly volatile, partly because of the uncertainties
generated by inadequate political cohesion of EU Member States in singling out shared economic and
monetary solutions. Little signs of recovery are expected in the second half of 2013, but this largely depends
on how the sovereign debt crisis will develop, as well as on whether the political context will stabilize and the
necessary reforms will be implemented to re-launch the economy.
As far as the Republic of San Marino is concerned, the recent IMF Mission highlighted that the economic
recession is likely to continue throughout 2013, with growth hindered by weak external demand and by the
negative effects of San Marino inclusion on Italy’s tax black list.

It is essential for San Marino to rebuild strong fiscal reserves. To do so, according to IMF experts, more
ambitious goals will have to be reached in relation to the planned tax reform and expenditure review. Finally,
the IMF delegation noted that there has been significant progress in recent years to unwind laws protecting
bank and tax secrecy. Anti money laundering laws have also been significantly tightened and the exchange
of information on tax and money laundering matters has been stepped up. Continued commitment to this
more open and transparent path will be the best way for San Marino to strengthen its relations with the
international community.
In terms of profitability, the provisional results made by the Company in the first quarter of 2013 appear quite
satisfactory, despite all the uncertainties that continue to affect the economic and financial environment.
However, making predictions about expected returns remains difficult.

Profit allocation: proposed resolution
Dear Shareholders,
We hereby submit for your approval the Financial Statements as at 31 Dec. 2012, accompanied by the reports
required by law. The General Meeting, which will have to approve the Annual Report as at 31st December
2012, is convened on 29 May 2013 at 2.30 p.m. in the first call, and at 3.00 p.m. in the second call.
With regard to the distribution of profits, we propose that net profits for 2012 be allocated as follows:

NOTE TO THE FINANCIAL STATEMENTS
Part A - Assessment criteria
Section 1 – Description of Assessment Criteria
The assessment criteria adopted are in accordance with relevant law provisions in force and express continuity
with the previous year.
The financial statements have been prepared in accordance with general accounting principles of prudence,
and on an accrual and going concern basis.
Profits have been stated only if generated by the end of the year.
The most significant assessment criteria applied to draw up the financial statements as at 31st December
2012 are described below.
1. Cash, receivables
1.1 Cash
Cash and other cash equivalents are booked at face value-
1.2 Due from credit institutions
Receivables from banks are booked at estimated market value, measured against debtor’s solvency. At year
end, estimated market value of due from credit institutions is equal to their par value.
1.3 Due from customers and other assets
Receivables from customers are booked at estimated market value. Other assets include tax credits vis-à-vis
the state revenue for pre-paid income tax.
2. Bonds and other fixed-income securities
This budget item includes all financial instruments held in the Company’s portfolio, such as treasury bills,
bonds, certificates of deposit and fixed- or variable-income securities.
Securities may be classified as:
1. held-to-maturity: these include long-term investment securities to be held until the date of maturity

except under special circumstances;
2. available-for-sale: these include securities held for investment purposes, but available for trading to meet
treasury and trading requirements.
The security held as at 31 Dec. 2012 – given its characteristics – could be included among held-to-maturity
securities. At year end the held-to-maturity portfolio comprised unlisted financial instruments whose
market value has been determined on the basis of estimations and mark-to-model techniques which
take into account related risk factors, maximizing the use of market factors. Any difference between the
accounting value and the market value of a security has been imputed to the income statement under
Item 60 ‘Profits (losses) from financial transactions’.
The value of any single security has not been added the related accrued interest posted on the assets side
of the Assets & Liabilities Statement under Item 130 ‘Accrued and deferred assets’.
3. Tangible and intangible fixed assets
Tangible fixed assets are booked at purchase cost increased by ancillary and incremental costs. Maintenance
and repair costs not involving an increase in the value of assets are imputed to the income statement. Balance-
sheet value therefore refers to such stated value less depreciation. Tangible fixed assets are depreciated each
year at quotas, based on economic and technical rates, according to the residual possibility of their use. Such
rates are in conformity with those allowed under the existing tax legislation.
Intangible fixed assets are stated at purchase cost including ancillary costs and amortised at constant quotas
over their estimated useful life, which does not exceed the period set forth by existing tax legislation.
4. Accruals and deferrals
Accrued and deferred assets and liabilities are booked on an accruals basis, according to the economic
treatment granted to every single business relationship.
5. Due to credit institutions, due to customers and other liabilities
Due to credit institutions, due to customers and other liabilities are booked at par value.
6. Staff severance pay
The staff severance pay fund is allocated to face entitlements vested every year by personnel, in accordance
with law provisions. These liabilities are settled annually, hence the stated amount of the staff severance pay
fund represents exclusively the liability related to the annual entitlement accrued by permanent staff at year-
end.

7. Costs and revenues
Costs and revenues are stated on an accrual basis.
8. Income tax
Income tax for the year is determined on the basis of the foreseeable amount of tax liabilities calculated in
accordance with the tax legislation in force.
Section 2 - Adjustments and tax funds
No write-downs nor provisioning have been made solely in application of tax provisions.

Fund securities and fund liquidity are maintained with the Custodian Bank “Banca CIS S.p.A.”. Other assets,
i.e. works of art, that form part of the Scudo Modern Art Fund assets, are kept safe in a caveau in San Marino
held by a private security institution, with the exception of a Gerardo Dottori’s painting entitled “Pole Jumper”
which is kept in another caveau in Bologna. The painting was in fact declared “work of cultural interest” under
art. 10.3.a) of the Code of Cultural Heritage and Landscape and is therefore kept under the protection and
safeguard rules laid down therein. Other Dec. 2012 (1.3183), while the NAVs for the same funds as at 29
December 2011 were converted with an exchange rate of 1.2889.

Dear Shareholders,
the Annual Report as at 31 December 2012, which the Board of Directors submits for your approval in
accordance with the legislation in force, was compiled in accordance with Law no. 165 of 17 November 2005
as subsequently amended and supplemented, Company Law no. 47 of 23 February 2006 as subsequently
amended and supplemented, as well as the relevant regulatory provisions set forth by the Central Bank of
the Republic of San Marino.
The Annual Report is made up of the Assets & Liabilities Statement, the Income Statement, the Note to the
Financial Statements and the Directors’ Report providing a fair review of the business during the fiscal year.
The financial statements were made available to the Statutory Auditors in compliance with art. 83 of Company
Law no. 47 of 23 February 2006 as subsequently amended and supplemented.
The Company is required by law to entrust the auditing of accounts to independent auditors, while the
Statutory Auditors are vested with oversight functions. We do hereby provide an account of the oversight
activity we conducted during the fiscal year.
The financial statements show generated profits for EUR 375,197 net of income tax, as much is indicated in
the following financial and economic aggregated data, obtained by rounding decimals to the next Euro unit.

Oversight Activity
During the fiscal year ended 31 December 2012, the Statutory Auditors met at least on a quarterly basis to
fulfill their oversight functions in accordance with art. 63 and following articles of Company Law no. 47/2006
as subsequently amended and supplemented, with a view to ensuring compliance with the Law, the By-Laws
and the principles of proper administration.
Our oversight visits were planned and conducted to acquire all necessary elements to ascertain the accuracy
and veracity of assessed data and information. With regard to the outcome of our quarterly visits, please
refer to the minutes of 27 January 2012, 26 March 2012, 30 May 2012, 22 June 2012, 20 September 2012,
13 December 2012, 15 February 2013, 11 March 2013, 28 March 2013 and 24 April 2013, recorded in the
Statutory Auditors’ book.
Based on our findings during our oversight activity as Statutory Auditors, we may state the following:
1. The Shareholders’ and Directors’ meetings we attended took place in compliance with relevant legislative
and statutory provisions and we may reasonably affirm that compliance with the law and the by-laws was
ensured;
2. We obtained information from the Directors providing a fair review of business performance during the
year and expected developments;
3. We acquired knowledge of and reviewed, to the extent of our competence, the adequacy of the
administration and accounting system and its accuracy in properly representing management-related
facts, acts and operations by examining business documents, and acquiring information from the staff,
and also assessed the adequacy of the organizational structure;
4. We assessed the observance of and compliance with AML/CFT obligations and the business conducted by
the company;
5. We found no omissions on the part of the Directors, under art. 63, paragraph 1, point 6) of Company Law
no. 47/2006 as subsequently amended and supplemented;
6. No wrongdoings or irregularities were reported to us by the shareholders and no lawsuits were brought to
Court under art. 66 of Company Law no. 47/2006 as subsequently amended and supplemented;
7. We satisfied ourselves that law provisions concerning the drawing up and compilation of budget accounts
were complied with; we also verified that the budget accounts were consistent with the facts and
information we acquired knowledge of in the fulfillment of our functions and duties, as audited by the
Independent Auditors;
8. The outcome of our oversight and verification activities was always submitted to the attention of and
discussed with the Board of Directors.
The Statutory Auditors, based on the outcome of their oversight activities as described above, reserve to
verify in the course of their next visits that no irregularities are found and that law and regulatory provisions
are fully complied.
The Statutory Auditors took note of the Independent Auditors’ Report certifying that the Financial Statements
as at 31 December 2012 comply overall with the relevant budget accounting rules and standards and that
they are clearly stated and give a true and fair view of the financial position of the Company and the results
of its operations.
Conclusions
In the light of the foregoing, based on the documentation produced by the Directors, account being taken
of remarks made as information notices and recommendations to the Directors, to the extent of their
competence, the Statutory Auditors believe that there are no grounds against the approval of the Annual
Report as at 31 December 2012.
Hence the Statutory Auditors propose that the 2012 Annual Report, as submitted by the Board of Directors,
be approved.
