2.0. THE COMPANY

Premabergo Italiana S.r.l. is a company that has been operating since 1957 in Italy and abroad, initially as the representative of major international manufacturers and later as single source supplier for design, engineering, procurement, construction and commissioning of fully integrated modular systems for Petrochemical, Petroleum, Gas Industries and for Naval Forces, both Military and Merchant Ships. The Company Head Office is in Cassina De' Pecchi - Milan. Premabergo Italiana S.r.l. is capable of offering professional engineering services and qualified construction activities to implement projects from inception to completion. The Company retains representative agreements with major international organisations, such as:

In addition to the above Premabergo Italiana S.r.l. has a strong historic association with several local manufacturing companies, all located within approximately 50 km of its base of operations.

3.0. PRODUCTS & ACTIVITIES 3.1. Products

Premabergo Italiana S.r.l. has a long standing history in providing products manufactured to its own design such as:

Analysis system packages (with gas chromatographs)

Offshore hypochlorite injection skids Moreover the Company retains licence agreements with Peerless Manufacturing (U.S.A.) and Van Tongeren (U.K.) for design and manufacture in Italy of equipment for the Oil and Gas industries such as:

3.2. Design and engineering

In the late 1970’s, due to the technological growth in the oil and gas industries, the Company expanded its traditional activities to include engineering and management services such as :

* Basic and detailed engineering * Project management * Procurement, expediting and tests * Site supervision services * Commissioning and start-up activities

3.3. Turn-key contracts

Premabergo Italiana S.r.l. have also acted as the main contractor for complete turn-key package units, designed, fabricated, assembled and pre-tested in the workshop and delivered to site, ready for commissioning and start-up. The experience gained by the Company in the design and manufacturing of system packages has established the reputation of Premabergo Italiana S.r.l. as a leading Company in providing fully integrated modular systems.

4.0. THE ORGANIZATION

The Company organisation structure (see annexed Table 1) is formed in such a manner to optimize the various activities such as :

* Representation sales and contract management * Design, engineering and management * Manufacture, fabrication and assembly supervision are performed by dedicated sections in the organisation.

5.0. PREMABERGO ITALIANA STAFF

The permanent Premabergo Italiana S.r.l. staff comprises 31 people. If favoured with an order, Premabergo Italiana S.r.l. would assign the necessary project manager and technical personnel for project development. External consultants and/or pool companies could temporarily integrate with Company’s technical staff for activities complementary to the project. The co-ordination for the construction will be performed by the same technical staff assigned to the project; this will assure to the client the adherence of manufacturing to the engineering documents. The same technical personnel will witness also the workshop test and will assist, if requested, the Client on site.

The design, engineering, construction and sales activities of Premabergo Italiana S.r.l. are governed and performed to the provisions of the Company Quality Management System. Premabergo’s Q.M.S. staff is responsible and qualified to verify the compliance of the production process and products to the Client requirement. Premabergo Italiana S.r.l. Quality Management System is certified to ISO 9001:2008 by Bureau Veritas Quality Italy, EA Sector no. 18, for the specific activity and products as stated in the Q.M.S. Certificate of Compliance.

Premabergo Italiana has designed and assembled many Drying andPurification Units suitable for Oil Refineries and Petrochemical plants.The fluids and gasses treated, are wet streams such as Propane, Butane, LPG,Toluene, Benzene, Hexane, Ethylene, Off-gas, Nitrogen, Hydrogen etc..The Drying and Purification Units are generally, skid mounted, automaticallyor manually operated according to the requirements.The adsorbent and catalyst compounds are of different nature (molecularsieve, alumina etc.) depending upon the process media.

The on site hypochlorite generator Premaclor is bipolar type designed endeach electrolyser consist of a series of a electrolytic cell.All the electrolysers are manufactured from the highest quality material.The process involved in the generation of sodium hypochlorite is a simpleelectrolysis of seawater.The seawater flows through the electrolysers, which are fitted wiyhdimensionally stable electrodes.When DC power is passed through the electrolysers, the exothermicchemical reaction takes place and sodium chloride in the seawater getsconverted into sodium hypochlorite solution (NaOCl).The main reaction are as below :

1) free chlorine is generated at the anode :2Cl- ---------->Cl2 + 2e-

2) hydrogen is envolved at the cathode with thecorresponding formation of OH- ions :2H2O + 2e- ----------> 2OH- + H2

3) This overall chemical reaction can be expressed asfollows :2NaOH + Cl2 ----------> NaClO + NaCl + H2O

the amount of hypochorite produced is related directly to the amount ofdirect electrical current passed through the cell.
